This part presents the price proposal for the equipment
and services specified in the Christian Rovsing A/S
supplied:
S-90' Proposal
The price proposal consists of the following sections:
Section 1: provides the financial proposal with a
description of the principles of the price
proposal and a price summary
Section 2: provides the hardware equipment matrix
Section 3: provides the contractual provisions
Section 4: provides a price escalation formula for
optional deliveries
1.2 P̲R̲I̲N̲C̲I̲P̲L̲E̲S̲ ̲O̲F̲ ̲T̲H̲E̲ ̲P̲R̲I̲C̲E̲ ̲P̲R̲O̲P̲O̲S̲A̲L̲
The price has been estimated by dividing all aspects
of the project into major tasks. For each of the major
tasks a further breakdown has been generated detailing
for instance hardware, software, and support tasks.
The list consists, therefore, of a family tree of tasks
organized to define and display the work to be accomplished
for successful implementation of a project.
The cost of the tasks at the most detailed level has
been estimated based on manpower-estimates and cost-
estimates. By adding the costs of the tasks at a certain
level in the list, the cost for each major task has
been found.
The price of a certain element in the list, therefore,
reflects the cost to complete the task.
A more detailed description of the hardware costs is
given in section 2.
1.3 P̲R̲I̲C̲E̲ ̲B̲R̲E̲A̲K̲D̲O̲W̲N̲
Price Summary is given in Figure 1.3 for delivery of
35 systems for LIV-85 and 1 system AMUS/NY. The bid
is only valid undivided.

1.4 D̲E̲T̲A̲I̲L̲E̲D̲ ̲P̲R̲I̲C̲E̲ ̲B̲R̲E̲A̲K̲D̲O̲W̲N̲
Details of the cost breakdown are given in Figure 1.3.
For each of the major items the costs of each line
item are given. Line items described as "time and material"
are not included in the totals, but may be exercised
on the customers request. Line items marked as "on
a time and material basis" are budgettary and a cost
impact may occur when requirements are known in details.
TBD means to-be-defined when requirements are agreed.
The following comments must be made to the pricing:
Concerning "Installation and Checkout":
Until further details are specified for the delivery
(f.i. the site layout) and for the installation of
equipment (f.i. the tempest requirements), the following
is proposed:
Delivery is F.O.B. Copenhagen but the contractor is
willing to deliver the equipment to a customer specified
site in Sweden i.e. C.I.F. site delivery can be included
in the contract.
Installation is performed on a time and materiel basis.
Concerning "R…1e…S-godkendt" equipment:
As the requirements for the 2 types of "R…1e…S"-approval
not are known, only standard equipment has been priced.
If modifications to the standard equipment are necessary
to fulfill the R…1e…S requirement, a price impact may occur.
CRAS has a large experience in tempest equipment and
is willing to offer such equipment when requirements
are known.
Concerning pricing of software:
Software delivered from softwarehouses are priced using
the price policies of the softwarehouses, i.e. a unit
price for each delivered copy of the object code.
For software developed or modified in connection with
this contract, the development cost is split out on
the unit price of each copy of the object code of the
software delivered. If FMV is interested in another
payment split between the non-recurrent price and the
recurrent price, CRAS is willing to consider this.
Concerning the acceptance test of the delivered systems,
CRAS has assumed:
- For the first system a qualification test is performed
in factory, showing that all hardware and software
are functioning in accordance with the requirements.
- For all subsequent systems a factory acceptance
test is performed before shipment.
- When a system has been installed on a site a 1-day
installation test (a checkout) is performed.
- After the successful installation test is performed,
the equipment is covered by the warranty clause.
- CRAS is willing to offer a more extensive acceptance
testing on site on a time-and-material basis.
Concerning the schedule, CRAS has assumed:
- The first system AMOS/NY is delivered september
84.
- The 35 LIV-85 systems are delivered between april
85 and april 87, with approximately 1 1/2 system
per month.

2̲ ̲ ̲E̲Q̲U̲I̲P̲M̲E̲N̲T̲ ̲M̲A̲T̲R̲I̲X̲
2.1 H̲A̲R̲D̲W̲A̲R̲E̲ ̲E̲Q̲U̲I̲P̲M̲E̲N̲T̲
The hardware equipment matrix for each of the different
configuration is shown in Figure 2.1. The total configuration
for each of the 35 LIV-85 systems and 1 AMUS/NY is
shown. For each item the quantities, the unit price,
and the total prices are given.
The price has been calculated for the following configurations
- the support system
- the functional system
- one of the 35 LIV-85 systems
- one AMUS/NY system
The total price of the 35 LIV-85 systems and 1 AMUS/NY
system are included in tabel 1.3-1 as line item No.
3.2.
The configuration shown will to our best knowledge
be able to support the software delivered and the functions
described in the bid.
If additional or less units or peripherals are needed
in the actual delivered configurations the total price
of the delivered system will be adjusted accordingly
using the unit prices to calculate the total hardware
price of the system.

2.2 S̲O̲F̲T̲W̲A̲R̲E̲ ̲E̲Q̲U̲I̲P̲M̲E̲N̲T̲
The software will be priced for each system delivered.
The unit prices are shown in fig. 2.2-1, together with
the assumed SW-configuration on one LIV-85 system and
on one AMUS/NY system.
The total price of each of the 35 LIV-85 SW-packages
and the AMUS/NY system has been calculated too.
The price has been included in the detailed price breakdown
fig 1.2-1 as line item 4.2.
All other SW-packages priced are to be considered as
optional.
The software delivered will to our best knowledge be
able to support the functions described in the bid.
If additional software packages are needed in the actual
deliveries the total software price of each delivered
system will be adjusted accordingly using the unit
prices to calculate the total software price of the
system.
The software packages are priced assuming that all
35 LIV-85 will be equiped with the SW packages shown.
If not, a cost impact may occur.

3̲ ̲ ̲C̲O̲N̲T̲R̲A̲C̲T̲U̲A̲L̲ ̲P̲R̲O̲V̲I̲S̲I̲O̲N̲S̲
The delivery of the S-90 will be governed by the terms
of a contract to be negotiated between FMV and CHRISTIAN
ROVSING A/S (CR).
CR's approach to contracting for large turnkey systems
like these is as follows:
1) The parties negotiate and sign a contract covering
terms and conditions, payment schedule, and implementation
schedule. The contract includes a brief Statement
of Work.
2) The contract defines an initial phase in which
CR writes a complete System Requirements Specification,
SRS, which exhaustively lists all functional and
other technical requirements of the system. In
the case of the S-90 this phase is proposed to
have a duration of two months by the end of which
CR will submit the SRS for evaluation by FMV.
3) The customer is allowed an agreed approval period
of 1 month and any time spent in excess of the
approval period is added to all subsequent milestone
dates.
4) Once approved, the SRS becomes the baseline for
all subsequent implementation work and it replaces
the Statement of Work.
5) In case of disapproval of the SRS and inability
of the parties to agree on suitable modifications
to the document, FMV can cancel the contract against
an agreed amount covering CR's efforts so far.
This approach has been applied by CR in a number of
contracts and has - without exception - proven beneficial
to both our customer and CR.
3.1 B̲I̲D̲D̲E̲R̲S̲ ̲P̲R̲O̲V̲I̲S̲I̲O̲N̲S̲
T̲e̲r̲m̲s̲ ̲o̲f̲ ̲C̲o̲n̲t̲r̲a̲c̲t̲
The contract to be generated for the implementation
of the S-90 will be based on a fixed implementation
plan. Any changes to the deliverables and delivery
dates, which are specified in the contract, will require
that a formal change procedure be followed.
P̲r̲i̲c̲e̲
The quotation for the total purchase price of the 35
LIV-85 system and 1 AMUS/NY as completed at CR and
tested site is a fixed price, which may only be increased
or decreased as a result of any changes in the deliverables
or to any changes in the program implementation plan.
Furthermore, the price at extensions or additional
systems will be subject to price variation in accordance
with the formula suggested in section 4. The formula
uses indices for labour and material cost as a basis.
P̲r̲i̲c̲e̲ ̲V̲a̲l̲i̲d̲i̲t̲y̲
The quotation for the total purchase price is valid
until 1 July 1984.
T̲a̲x̲e̲s̲ ̲&̲ ̲D̲u̲t̲i̲e̲s̲
All taxes and duties levied by the Danish government
are included in the purchase price of the S-90 at the
rates prevailing as of the date of the proposal. The
purchase price is exclusive of any taxes and duties
levied by the Swedish government.
P̲a̲y̲m̲e̲n̲t̲s̲
Payment terms and bank guarantee are to be negotiated.
CR assumes, in the price proposal submitted, a 30%
down payment at contract signature, 60% at delivery
and 10% at system approval.
G̲o̲v̲e̲r̲n̲m̲e̲n̲t̲ ̲R̲e̲s̲t̲r̲i̲c̲t̲i̲o̲n̲s̲
The proposal is prepared taking into consideration
only the legislation in force as of today. In case
of legislation affecting this project or in case government
restrictions are imposed on CR after this date, the
proposal shall be adjusted accordingly.
If any of the equipment delivered under this agreement
and any ensuing purchase orders are subject to the
NATO embargo rules or the approval by the Danish Government
Authorities and their granting of Danish Export Licence(s)
for the agreed upon equipment and program deliveries,
CR will use its best endeavour to obtain Danish Export
Licence(s) and appropriate Import Certificate(s) for
all specified Purchase Orders, but in the event that
such approval or licence(s) cannot be obtained, CR
shall have the right to terminate without liability,
on the part of CR, the purchase orders affected.
P̲r̲o̲g̲r̲e̲s̲s̲ ̲R̲e̲p̲o̲r̲t̲i̲n̲g̲,̲ ̲M̲i̲l̲e̲s̲t̲o̲n̲e̲ ̲P̲l̲a̲n̲ ̲a̲n̲d̲ ̲P̲a̲y̲m̲e̲n̲t̲ ̲P̲l̲a̲n̲,̲
̲I̲n̲v̲o̲i̲c̲i̲n̲g̲ ̲a̲n̲d̲ ̲P̲a̲y̲m̲e̲n̲t̲
In order to make visible to FMV and to ascertain the
progress of the implementation of the S-90, CR shall
submit to FMV periodic progress reports; CR and FMV
shall also hold progress meetings. The reporting shall
include, but not be limited by, the milestone plan.
The progress report on the supply of a deliverable,
as defined in the milestone plan, and the approval
or disapproval by FMV within the approval period, constitute
the basis for invoicing the related amount as defined
in the payment plan. FMV shall honour the invoice within
an agreed period.
P̲a̲r̲t̲i̲c̲i̲p̲a̲t̲i̲o̲n̲ ̲i̲n̲ ̲t̲h̲e̲ ̲I̲m̲p̲l̲e̲m̲e̲n̲t̲a̲t̲i̲o̲n̲
The purchase price is further based upon the expectation
that FMV will participate in the generation of the
final System Requirements Specification with capable
systems engineers.
S̲y̲s̲t̲e̲m̲ ̲R̲e̲q̲u̲i̲r̲e̲m̲e̲n̲t̲s̲ ̲S̲p̲e̲c̲i̲f̲i̲c̲a̲t̲i̲o̲n̲
The functional system Requirements Specification (SRS)
for S-90 will be developed by CR in close cooperation
with, for delivery to FMV no later than two months
after award of contract.
Within the four weeks after submission of the SRS document,
FMV shall transmit to CR its comments on and its evaluation
of the SRS document.
The approval of the SRS document shall by both parties
be pursued in a timely manner, preferably within the
above period of four weeks. Upon mutual signature of
the SRS document, it shall become an integral part
of the contract and shall constitute the entire and
exhaustive understanding between FMV and CR as regards
the functional system requirements.
One of the major areas to be specified in detail in
the initial phase is the acceptance criterias. This
part will be costed when requirements are known.
Other areas, where detailed specifications are not
yet available, have been difficult to estimate and
a later cost impact may accur.
Start of System design and all subsequent dates are
relative to the date of approval by FMV of the SRS
document.
C̲h̲a̲n̲g̲e̲ ̲P̲r̲o̲c̲e̲d̲u̲r̲e̲
The SRS document may only be changed through application
of a formal change procedure, based on written contract-change
proposals, evaluation thereof, and mutually agreed
contract amendments, including a precise description
of the change and its contractual consequences.
H̲a̲r̲d̲w̲a̲r̲e̲ ̲R̲e̲c̲o̲n̲f̲i̲g̲u̲r̲a̲t̲i̲o̲n̲
In order to enable the FMV to benefit from technological
development and new products, CR shall be entitled
during the project to introduce changes in the proposed
Hardware Configuration, in order to gain improved technological
solutions or savings. Such changes, however, shall
in no way affect CR's obligations to meet the functional
requirements under the SRS document and may not result
in any change of the quoted price, unless so agreed
to by FMV.
A̲c̲c̲e̲p̲t̲a̲n̲c̲e̲ ̲T̲e̲s̲t̲s̲
Acceptance Tests are to be the primary means by which
CR proves to FMV that the system delivered meets the
System Requirements Specification. The successful completion
of the acceptance test shall constitute FMV's final
acceptance of the system, except for warranties which
survive this event.
W̲a̲r̲r̲a̲n̲t̲i̲e̲s̲
CR offers a factory warranty on the delivered equipment
for a period of 12 (twelve) months, during which period
it shall be free from defects in material and workmanship.
D̲e̲l̲i̲v̲e̲r̲y̲
Scheduled delivery dates shall be set forth according
to the progress of the project as stipulated in a Milestone
Plan, to be agreed upon.
P̲r̲o̲p̲r̲i̲e̲t̲a̲r̲y̲ ̲R̲i̲g̲h̲t̲s̲
FMV will be granted unlimited user rights to all results
generated under the project for the delivered equipment,
firmware, software and documentation.
Intellectual and industrial proprietary rights and
copyrights to all software, firmware or hardware, and
documentation delivered to FMV shall remain in perpetuity
with CR and CR shall be solely entitled to commercially
exploit such results through resale or licensing.
3.2 C̲O̲M̲M̲E̲N̲T̲S̲ ̲T̲O̲ ̲"̲A̲V̲T̲A̲L̲E̲ ̲F̲O̲R̲M̲U̲L̲A̲R̲E̲R̲"̲
Having the above list of topics subject to discussion
in mind, CR has gone through the detailed draft for
the contract provisions and finds it relevant as a
basis for negotiations.
The below comments, which not necessarily are complete,
may all be negotiated in order for the final contract
to reflect the parties rights and obligations in a
balanced and fair maner.
Para. 1 It is presupposed in CR's proposal that the S-90 contract
will be a contract of sale. However, CR is willing
to make inquiries into the possibilities of a leasing
arrangement, if this should be of importance.
Para. 4 CR offers a factory warranty on the delivered equipment
for a period of 12 months, during which period it will
be free from defects in material and workmanship.
The contents of subparagraph 4 and 4.5 are to be defined
in conjunction with the service contract.
Subparagraph 4.6 should be clarified as these obligations
are only applicable within the warranty period.
Para. 7 S̲u̲b̲p̲a̲r̲a̲g̲r̲a̲p̲h̲ ̲7̲.̲2̲
Is to be deleted as not applicable.
S̲u̲b̲p̲a̲r̲a̲g̲r̲a̲p̲h̲ ̲7̲.̲2̲.̲2̲.̲1̲
CR suggests the following balanced payment plan: 30%
of contract value at signature, 60% at delivery and
10% at system approval.
S̲u̲b̲p̲a̲r̲a̲g̲r̲a̲p̲h̲ ̲7̲.̲5̲
Assistance in eccess of warranty and service is to
be invoiced monthly on basis of time and material.
S̲u̲b̲p̲a̲r̲a̲g̲r̲a̲p̲h̲ ̲7̲.̲7̲
Considering the lifetime of the contract a price escallation
clause will have to be agreed upon. CR feels that the
last sentence should be deleted.
Para. 8 S̲u̲b̲p̲a̲r̲a̲g̲r̲a̲p̲h̲ ̲8̲.̲3̲
Should be deleted as not applicable.
Para. 9 CR suggests that s̲u̲b̲p̲a̲r̲a̲g̲r̲a̲p̲h̲ ̲9̲.̲1̲.̲6̲ be rephased to
clarify that cancellation may only take place after
the stipulated 180 days and only for the delayed deliveries.
Further should be added a statement that the payment
of liquidated damages is full and exhausted compensation
for any loss related to delay.
S̲u̲b̲p̲a̲r̲a̲g̲r̲a̲p̲h̲ ̲9̲.̲4̲
May not be commented in detail as page nine is missing.
However, CR suggests that the percentages in s̲u̲b̲p̲a̲r̲a̲g̲r̲a̲p̲h̲
̲i̲n̲ ̲9̲.̲4̲.̲2̲ be changed as follows: 20% should be substituted
by 5% and the service fee may only be reduced to half.
The last sentence on page 8 should be deleted.
Para. 11 CR has a products liability insurance, but is not prepared
to undertake further liabilities and obligations to
ensure. Consequently the first three subparagraphs
on page 10 should be deleted.
As regards s̲u̲b̲p̲a̲r̲a̲g̲r̲a̲p̲h̲ ̲1̲1̲.̲2̲.̲3̲ CR's responsibility
in respect to subcontractors is to be negotiated once
the configuration has been agreed upon, as the terms
to be negotiated with the subcontractors should reflect
those of the prime contract.
Para. 12 CR proposes that lack of components and energy shortage
be included as force majoure situations. It is suggested
in the next sentence that "Inte" should be deleted.
S̲u̲b̲p̲a̲r̲a̲g̲r̲a̲p̲h̲ ̲1̲2̲.̲3̲
The last sentence first section is to be deleted.
The last section of this subparagraph is to be negotiated
as the clause is not acceptable in its present form.
Para. 13 It is suggested in the second sentence that "lagsta"
and och "utbytte ... nya modeller" be deleted.
The last section of paragraph 13 is acceptable provided
the matter is stipulated for in a software maintenance
agreement that is in force.
Para. 14 Last sentence, should be deleted as not applicable.
Para. 16 The clause is acceptable provided the last sentence
is deleted, and provided it is clarified that prompt
notice is to be given to CR, who is responsible for
the case.
Para. 17 It should be clarified that such assignment is conditional
on CR's prior approval, unless the assignment is to
another body of State of Sweden.
Para. 18 May not be commented as the provisions on security
are not known to CR. It is presupposed in the price-proposal
that these provisions will have no cost-impact.
Para. 22 It is suggested that the lifetime of the contract be
5 years, after which it may be cancelled.
The third section is acceptable provided all outstanding
invoices are to be paid.
Appendices The appendices are to be negotiated in detail once
the configuration and the contractual clauses are
defined.
4̲ ̲ ̲P̲R̲I̲C̲E̲ ̲E̲S̲C̲A̲L̲A̲T̲I̲O̲N̲ ̲F̲O̲R̲M̲U̲L̲A̲S̲
4.1 The prices for deliveries not including in the 35 LIV-85
and the 1 AMUS/NY system are not firm fixed prices,
but will be varied according to rules mentioned below.
4.2 All basic prices are based on price-, labour- and currency
conditions as of 11. April 1984.
The price will be varied until agreed delivery time
as stated below:
a) The basic prices quoted on hardware will be regulated

f) The price P…0f…n…0e… in Swedish kr. will be regulated depending
on the average exchange rate in Swedish kr. of
the month preceeding agreed time at delivery.
4.3 The price escalated according to the above mentioned
rules is only valid until 1st January 1985.
5̲ ̲ ̲M̲A̲I̲N̲T̲E̲N̲A̲N̲C̲E̲ ̲C̲O̲S̲T̲
5.1 L̲I̲F̲E̲ ̲S̲U̲P̲P̲O̲R̲T̲ ̲C̲O̲S̲T̲
The LSC (Table 5.1-1) given in this proposal is based
on the configuration given in the RFP chapter 2.5.1.
As soon as the total configuration is known, LSC for
all systems will be calculated. However, a priced list
(Table 5.1-2) for maintenance of the different equipment
is given in order to estimate the maintenance cost
for a given configuration.
