may not be duplicated, used or disclosed outside the recipient
as Purchaser for any purpose other than to evaluate the proposal;
provided, that if a contract is awarded to this offerer as a
result of, or in connection with the submission of this data,
the Purchaser shall have the right to duplicate, use, or disclose
the data to the extent provided in the contract. This restriction
does not limit the Purchaser's right to use information contained
in the data if it is obtained from another source without restriction.

4.1 C̲O̲N̲T̲R̲A̲C̲T̲U̲A̲L̲ ̲A̲P̲P̲R̲E̲C̲I̲A̲T̲I̲O̲N̲
4.1.1 B̲i̲d̲d̲i̲n̲g̲ ̲P̲r̲o̲v̲i̲s̲i̲o̲n̲s̲
The provisions listed below are suggested additions
or modifications that Christian Rovsing A/S would like
to discuss in connection with the requirements listed
in Part II of IFB SHNMO 81-46 for Early Warning Transmitting
Systems (EWTS). Thus Part II of IFB SHNMO 81-46 and
the below mentioned provisions would serve as the basis
for contract negotiation, assuming award of contract
by SHAPE/SHNMO to Christian Rovsing A/S for EWTS.
1. V̲a̲l̲i̲d̲i̲t̲y̲
This bid shall remain valid and open for accept
for a period of 150 days from the bid closing date.
2. T̲e̲r̲m̲s̲ ̲o̲f̲ ̲P̲a̲y̲m̲e̲n̲t̲
Payment terms are to be negotiated. The baseline
is payment terms securing Christian Rovsing A/S
a balanced cash flow throughout the project execution,
i.e.:
Within 30 calendar days 30%
after contract effective date
Within 30 calendar days after completion 20%
of the System Design Review
Within 30 calendar days after each PSA 2,5%
Within 30 calendar days after delivery
and acceptance of the EWTSS. 5%
Within 30 calendar days after completion
of all final acceptance tests. 10%

B̲a̲n̲k̲ ̲G̲u̲a̲r̲a̲n̲t̲e̲e̲
An irrevocable bank guarantee for the first payment
cited above (30%) shall be submitted in a form
acceptable to SHAPE. Such guarantee shall be in
effect until PSA of the last EWTS and acceptance
of the EWTSS.
Christian Rovsing A/S does not find it appropriate
to submit a guarantee for the second payment cited
above. However, should SHAPE insist on such guarantee
Christian Rovsing A/S will be willing to discuss
the provisions for such guarantee.
The prices in this proposal include only a guarantee
for the first payment cited above.
3. T̲a̲x̲e̲s̲ ̲a̲n̲d̲ ̲D̲u̲t̲i̲e̲s̲
Presently, export from Denmark is exempt from Danish
value added tax. However, should such tax or any
other export tax or duty be made applicable to
goods in this contract such cost is to be covered
by SHAPE.
4. R̲o̲y̲a̲l̲t̲y̲
It is assumed that no royalty has to be paid to
any third party, please refer to Vol. II Sec. 6.
5. D̲e̲l̲i̲v̲e̲r̲y̲
Delivery will take place at customer's site C.I.F.
It is assumed that deliveries hereunder are exempt
from taxes and duties under applicable NATO rules
and regulations. Thus no such costs are included
in the prices.
6. G̲o̲v̲e̲r̲n̲m̲e̲n̲t̲ ̲R̲e̲s̲t̲r̲i̲c̲t̲i̲o̲n̲s̲
The proposal is prepared taking into consideration
only the legislation in force as of today. In case
of legislation affecting this project or in case
Government restrictions are imposed on Christian
Rovsing A/S after this date, the proposal shall
be adjusted accordingly.

7. P̲r̲o̲p̲r̲i̲e̲t̲a̲r̲y̲ ̲R̲i̲g̲h̲t̲s̲
Please refer to Vol. I, Sec. 4.5.
8. G̲o̲v̲e̲r̲n̲i̲n̲g̲ ̲L̲a̲w̲
Since almost all work under this contract would
take place in Denmark, Christian Rovsing A/S would
suggest that the contract and the performance hereof
be governed and construed in accordance with the
laws of the Kingdom of Denmark.
9. L̲i̲q̲u̲i̲d̲a̲t̲e̲d̲ ̲D̲a̲m̲a̲g̲e̲s̲
Christian Rovsing A/S suggests that a modification
to this article be negociated in order to ensure
that Christian Rovsing A/S would only be liable
for payment of liquidated damages in an amount
proportionate to the value of the delayed item(s).

4.1.3 C̲o̲m̲p̲r̲e̲h̲e̲n̲s̲i̲o̲n̲ ̲o̲f̲ ̲C̲o̲n̲t̲r̲a̲c̲t̲
The Contractor warrants that he has read, understood
and agreed to each and all terms, clauses, specifications
and conditions specified in this contract and that
his signature to the contract is an acceptance, without
reservation, of the aforesaid contrat terms, clauses,
specifications and conditions within their normal and
common meaning.

Assuming award of contract, an agreement incorporated
into the schedule of the contract no later than The
Software System Design Review will list limited rights
in technical data and restricted rights in computer
software which are desired pursuant to Part II, paragraph
1.15 of the IFB. SHNMO 81-46.
Such agreement could be based on the principle that
existing software and/or software which needs only
minor modifications to be used by Christian Rovsing
A/S in the project a̲n̲d̲ which by its character falls
within application software should be under limited
rights whereas system software should be under restricted
rights.
Christian Rovsing A/S's interest in commercially exploiting
results of its development work hereunder should be
given attention during contract negotiations, always
provided that such exploitation shall not be allowed
where it prejudices either Danish national security
or NATO security.

4.6 S̲E̲C̲U̲R̲I̲T̲Y̲
All personnel performing under the contract will posses
individual security clearances of at least "NATO SECRET"
prior to being allowed to work on any classified portion
of the contract.
It will be demonstrated that the bidders place of Manufacture
merits a facility clearance of at least "NATO SECRET".
4.7 B̲I̲D̲ ̲G̲U̲A̲R̲A̲N̲T̲E̲E̲
A bid guarantee in an amount equal to one (1) million
Belgian Francs has been arranged with:
