This part presents a fixed price proposal for the equipment
and services specified in the Christian Rovsing A/S
supplied:
The price proposal consists of the following sections:

1.2 DECISION TO BID THE AUTOMATIC MESSAGE AND DATA S̲W̲I̲T̲C̲H̲I̲N̲G̲
̲C̲E̲N̲T̲R̲E̲ ̲(̲A̲S̲C̲)̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲
The decision to bid ASC represents a definite commitment
on the part of CHRISTIAN ROVSING A/S (CR) to devote
its resources and technical talents to the successful
implementation and performance of the system. The decision
was taken at top-level after thorough discussions with
the staff of marketing, administration, and engineering
at CR.
Considerable experience in the field of data communication
combined with experience as prime or sub-contractor
of major computer system projects provide a solid basis
for our participation in this project. Prime contractor
responsibility, especially for airline customers such
as Air Canada and American Airlines, has demanded a
professional approach to turn-key project management
with particular emphasis on planning and documentation
in all phases from system design and development to
production, integration, installation, training, and
maintenance. The contracts awarded to the company have
been typically worth from several to tens of milions
of US Dollars.
To provide the necessary talent and facilities, the
ASC project will be staffed by experts from several
divisions at CR. Thus, exceptionally strong capabilities
will be available in computing and data communication.
Participating entities at CR are:
o The Systems Division - structured in 1979 to consolidate
management of major computer system projects The
CAMPS project for NATO is the responsibility of
the Systems Division.
o The Development Division - responsible for the
design of the CR80 Computer product line of which
more than 200 systems are currently on order from
major customers such as Air Canada, American Airlines,
NATO and ICL.
o The Production Division - responsible for manufacturing
the CR80 Computer product line.
The ASC Project Group will be supported by the Integrated
Logistics Support Group, which provides services including
site surveys, installation, training, documentation
preparation, maintenance, spares and other necessary
services.
Product quality will be ensured by the Quality Assurance
Department, which reports directly to the company management.
An administratively distinct Project Office will be
established to manage the ASC Project. This project
office will have total system responsibility and authority
to coordinate in-house activities and to provide close
liaison with the customer throughout the duration of
the project.
In summary, the decision to bid is based on the confidence
that CR has all the necessary qualifications for the
successful design, implementation and maintenance of
the ASC.
The ASC switching facility is similar to the highly
efficient communications processor used in military
programs and also to be used in extensive airline communication
systems like Air Canada's and American Airlines', where
up to 65,000 terminals will be connected to various
host computers.
The host computer proposed for the ASC is a CR80 computer
system, which can be fully dualized with automatic
switch-over from active to the standby in the event
of failure. Manual svitch-over is also possible to
accomplish "on-line" maintenance, i.e. maintenance
without loss of function by using the standby unit
for processing while the formerly active unit is serviced.
In addition to fault tolerant operation and ease of
maintenance, the CR80 is characterized by high performance,
high system availability, and capacity increase by
simple addition of standard modules.
CR's experience in developing and implementing systems
is based on various military and commercial projects
conducted in the past and present. In close cooperation
with the customer, CR has provided cost effective systems,
and believes that a similar approach can be taken on
the ASC. The extensive experience from previous projects
will provide an important no-risk aspect to the proposed
ASC design.

3.1 P̲R̲I̲N̲C̲I̲P̲L̲E̲S̲ ̲O̲F̲ ̲T̲H̲E̲ ̲P̲R̲I̲C̲E̲ ̲P̲R̲O̲P̲O̲S̲A̲L̲
The price has been estimated by dividing all aspects
of the project into major tasks. For each of the major
tasks a further breakdown has been generated detailing
for instance hardware, software, and support tasks.
The list consists, therefore, of a family tree of tasks
organized to define and display the work to be accomplished
for successful implementation of a project.
The cost of the tasks at the most detailed level has
been estimated based on manpower-estimates and cost-
estimates. By adding the costs of the tasks at a certain
level in the list, the cost for each major task has
been found.
The price of a certain element in the list, therefore,
reflects the cost to complete the task.
A more detailed description of the hardware costs is
given in section 5.
3.2 P̲R̲I̲C̲E̲ ̲S̲U̲M̲M̲A̲R̲Y̲
Price Summary is given in Figure 3.2-1 for phase 1,
2 and 3 of the project.
The price of phase 2 and 3 will be escalated according
to the price escalation formula in section 7.

3.3 D̲E̲T̲A̲I̲L̲E̲D̲ ̲P̲R̲I̲C̲E̲ ̲B̲R̲E̲A̲K̲D̲O̲W̲N̲
Details of the cost breakdown are given in Figure 3.3-1.
For each of the major items the costs of each line
item are given. The additional costs for phase 2 and
3 are given too. Line items described as "0ptional"
are not included in the totals, but may be exercised
on the customers request. Line items marked as "estimated"
are budgettary and a cost impact may occur when requirements
are known in details. In section 4 the price breakdown
is given on form alpha: List of Lots and Prices" from
the Invitation to Tenders. In the event of an inconsistency
between the price breakdown in section 3 and the prices
in "form alpha" section 2, the inconsistency shall
be resolved by giving precedence to section 3.
With reference to the RFP section 7.9.3:
"The said training programs will be finalized either
upon the signature of the contract or at a later stage
to be agreed upon by both parties concerned", has Training
not been priced within this offer. Section 8 provides
financial information about Training courses on a course-week
basis.

CR's approach to contracting for large turnkey systems
like the ASC is as follows:
1) The parties negotiate and sign a contract covering
terms and conditions, payment schedule, and implementation
schedule. The contract includes a brief Statement
of Work.
2) The contract defines an initial phase in which
CR writes a complete System Requirements Specification,
SRS, which exhaustively lists all functional and
other technical requirements of the system. In
the case of the ASC this phase is proposed to have
a duration of four months by the end of which CR
will submit the SRS for evaluation by HCAA.
3) The customer (HCAA) is allowed an agreed approval
period and any time spent in excess of the approval
period is added to all subsequent milestone dates.
4) Once approved, the SRS becomes the baseline for
all subsequent implementation work and it replaces
the Statement of Work.
5) In case of disapproval of the SRS and inability
of the parties to agree on suitable modifications
to the document, HCAA can cancel the contract against
an agreed amount covering CR's efforts so far.
This approach has been applied by CR in a number of
contracts and has - without exception - proven beneficial
to both our customer and CR.

The contract to be generated for the implementation
of the ASC will be based on a fixed price and a fixed
implementation plan. Any changes to the deliverables
and delivery dates, which are specified in the contract,
will require that a formal change procedure be followed.
P̲r̲i̲c̲e̲
The quotation for the total purchase price of the ASC
as completed at CR and tested on HCAA's facilities
located in Athens Airport is a fixed price (March 84),
which may only be increased or decreased as a result
of any changes in the deliverables or to any changes
in the program implementation plan. Furthermore, the
price at phase 2 and 3 will be subject to price variation
in accordance with the formula suggested in section
7. The formula uses indices for labour and material
cost as a basis. The total price excludes insurance
and freight costs, together with installation..
P̲r̲i̲c̲e̲ ̲V̲a̲l̲i̲d̲i̲t̲y̲
The quotation for the total purchase price is valid
for 280 days from the date of submission, 13th March
1984; but the validity period may be extended, subject
to adjustments based upon the general economic conditions
in Denmark. It is assumed that a contract for the ASC
can be negotiated and finalised within this period.
T̲a̲x̲e̲s̲ ̲&̲ ̲D̲u̲t̲i̲e̲s̲
All taxes and duties levied by the Danish government
are included in the purchase price of the ASC at the
rates prevailing as of the date of the proposal. The
purchase price is exclusive of any taxes and duties
levied by the European community or by the Greek government.
P̲a̲y̲m̲e̲n̲t̲s̲
Payment terms and bank guarantee are to be negotiated.
CR assumes, in the price proposal submitted, a 30%
down payment at contract signature and afterwards a
balanced cash flow throughout the project execution.
G̲o̲v̲e̲r̲n̲m̲e̲n̲t̲ ̲R̲e̲s̲t̲r̲i̲c̲t̲i̲o̲n̲s̲
The proposal is prepared taking into consideration
only the legislation in force as of today. In case
of legislation affecting this project or in case government
restrictions are imposed on CR after this date, the
proposal shall be adjusted accordingly.
P̲r̲o̲g̲r̲e̲s̲s̲ ̲R̲e̲p̲o̲r̲t̲i̲n̲g̲,̲ ̲M̲i̲l̲e̲s̲t̲o̲n̲e̲ ̲P̲l̲a̲n̲ ̲a̲n̲d̲ ̲P̲a̲y̲m̲e̲n̲t̲ ̲P̲l̲a̲n̲,̲
̲I̲n̲v̲o̲i̲c̲i̲n̲g̲ ̲a̲n̲d̲ ̲P̲a̲y̲m̲e̲n̲t̲
In order to make visible to HCAA and to ascertain the
progress of the implementation of the ASC, CR shall
submit to HCAA periodic progress reports; CR and HCAA
shall also hold progress meetings. The reporting shall
include, but not be limited by, the milestone plan.
The progress report on the supply of a deliverable,
as defined in the milestone plan, and the approval
or disapproval by HCAA within the approval period,
constitute the basis for invoicing the related amount
as defined in the payment plan. HCAA shall honour the
invoice within an agreed period.
H̲C̲A̲A̲ ̲P̲a̲r̲t̲i̲c̲i̲p̲a̲t̲i̲o̲n̲ ̲i̲n̲ ̲t̲h̲e̲ ̲I̲m̲p̲l̲e̲m̲e̲n̲t̲a̲t̲i̲o̲n̲
The purchase price is further based upon the expectation
that HCAA will participate in the generation of the
final System Requirements Specification with capable
systems engineers.
S̲y̲s̲t̲e̲m̲ ̲R̲e̲q̲u̲i̲r̲e̲m̲e̲n̲t̲s̲ ̲S̲p̲e̲c̲i̲f̲i̲c̲a̲t̲i̲o̲n̲
The functional system Requirements Specification (SRS)
for the ASC will be developed by CR in close cooperation
with HCAA, for delivery to HCAA no later than four
months after award of contract.
Within the four weeks after submission of the SRS document,
HCAA shall transmit to CR its comments on and its evaluation
of the SRS document.
The approval of the SRS document shall by both parties
be pursued in a timely manner, preferably within the
above period of four weeks. Upon mutual signature of
the SRS document, it shall become an integral part
of the contract and shall constitute the entire and
exhaustive understanding between HCAA and CR as regards
the functional system requirements.
One of the major areas to be specified in detail in
the initial phase is the acceptance criterias. This
part will be costed when requirements are known.
Other areas, where detailed specifications are not
yet available, have been difficult to estimate and
a later cost impact may accur.
Start of System design and all subsequent dates are
relative to the date of approval by HCAA of the SRS
document.
C̲h̲a̲n̲g̲e̲ ̲P̲r̲o̲c̲e̲d̲u̲r̲e̲
The SRS document may only be changed through application
of a formal change procedure, based on written contract-change
proposals, evaluation thereof, and mutually agreed
contract amendments, including a precise description
of the change and its contractual consequences.
H̲a̲r̲d̲w̲a̲r̲e̲ ̲R̲e̲c̲o̲n̲f̲i̲g̲u̲r̲a̲t̲i̲o̲n̲
In order to enable the ASC to benefit from technological
development and new products, CR shall be entitled
during the project to introduce changes in the proposed
Hardware Configuration, in order to gain improved technological
solutions or savings. Such changes, however, shall
in no way affect CR's obligations to meet the functional
requirements under the SRS document and may not result
in any change of the quoted price, unless so agreed
to by HCAA.
A̲c̲c̲e̲p̲t̲a̲n̲c̲e̲ ̲T̲e̲s̲t̲s̲
Acceptance Tests are to be the primary means by which
CR proves to HCAA that the system delivered meets the
System Requirements Specification. The successful completion
of the acceptance test shall constitute HCAA's final
acceptance of the system, except for warranties which
survive this event.
W̲a̲r̲r̲a̲n̲t̲i̲e̲s̲
CR offers a factory warranty on the delivered equipment
for a period of 12 (twelve) months, during which period
it shall be free from defects in material and workmanship,
and will perform in accordance with the functional
requirements of the SRS.
D̲e̲l̲i̲v̲e̲r̲y̲
Scheduled delivery dates shall be set forth according
to the progress of the project as stipulated in a Milestone
Plan, to be agreed upon.
P̲r̲o̲p̲r̲i̲e̲t̲a̲r̲y̲ ̲R̲i̲g̲h̲t̲s̲
HCAA will be granted unlimited user rights to all results
generated under the project for the delivered equipment,
firmware, software and documentation.
Intellectual and industrial proprietary rights and
copyrights to all software, firmware or hardware, and
documentation delivered to HCAA shall remain in perpetuity
with CR and CR shall be solely entitled to commercially
exploit such results through resale or licensing.
C̲o̲m̲m̲e̲n̲t̲s̲ ̲o̲n̲ ̲t̲h̲e̲ ̲s̲p̲e̲c̲i̲a̲l̲ ̲T̲e̲r̲m̲s̲ ̲a̲n̲d̲ ̲C̲o̲n̲d̲i̲t̲i̲o̲n̲s̲ ̲r̲e̲l̲a̲t̲i̲n̲g̲
̲t̲o̲ ̲E̲x̲e̲c̲u̲t̲i̲o̲n̲ ̲o̲f̲ ̲C̲o̲n̲t̲r̲a̲c̲t̲ ̲f̲o̲r̲ ̲a̲n̲ ̲S̲C̲S̲
Having the above list of topics in mind, CR has gone
through the detailed draft for the Special Contract
Provisions and finds it relevant as a basis for negotiations.
The below comments may all be negotiated in order for
the final contract to reflect the parties' rights and
obligations in a balanced and fair manner.
P̲a̲r̲a̲.̲ ̲2̲.̲2̲
It is understood that this paragraph does not include
the Contractual Technical specification (ref. para.
1.1.c)), which document, when mutually signed, shall
become an integral part of the contract and shall constitute
the entire and exhaustive list of the functional requirements
of the ASC.
The approved Technical specifications may only be changed
through application of the formal change procedure
stipulated in Para. 7.
It is suggested that "final" in line 11 be substituted
by: "provisional", and that "and the proper technical
standards, which are customary in the trade" be deleted.
P̲a̲r̲a̲.̲ ̲5̲
It is suggested that the paragraph be rephrased in
order to reflect the fact that the Technical specifications
documents is generated in close cooperation with HCAA.
P̲a̲r̲a̲.̲ ̲9̲
These stipulations on the risk of loss are to be negotiated
within the context that the risk of loss should pass
to the HCAA on the date of physical delivery, as the
equipment is then within the control of HCAA.
P̲a̲r̲a̲.̲ ̲1̲0̲
The stipulations on liability and indemnity are to
be negotiated, individually specifying CR's and HCAA's
responsibility towards personnel, facilities and equipment,
and third parties. CR will accept liability only for
direct damage, and will not accept liability for indirect,
incidental and consequential damage.
CR may furnish HCAA with an insurance certificate,
thus documenting the coverage by CR's insurer.
P̲a̲r̲a̲.̲ ̲1̲2̲
CR is prepared to accept such inspection, provided
it is arranged at the convenience of CR and involves
no costs on CR.
P̲a̲r̲a̲.̲ ̲1̲5̲
Considering quotation of prices FOB, C&F and CIF
(ref. Chapter 1, Article 7), contractor's arrangements
for the transport must be defined during contract negotiations.
P̲a̲r̲a̲s̲.̲ ̲1̲9̲-̲2̲2̲
It is understood that there be a provisional acceptance
test, the test procedure to be negotiated, by which
the system is tested towards the contractual technical
specifications. Final acceptance shall be imparted
to CR upon expiry of the warranty period, provided
CR has fulfilled its obligations under the warranty.
No further tests are to be carried out.
P̲a̲r̲a̲ ̲2̲1̲.̲2̲
CR feels that the provision should be modified with
respect to HCAA's right to reject the goods. It seems
reasonable that the contractor is allowed to replace
or repair defective parts prior to rejection.
P̲a̲r̲a̲.̲ ̲2̲6̲
CR suggests that it be specified that liquidated damages
are full and exhaustive compensation for any loss suffered
due to delay and that liquidated damages are calculated
on the basis of working days. Further that force majeure
in para. 26.6 be defined as government restrictions,
strike or labour disputes (whether lawful or not),
lock-outs, lack of components, energy shortage, fire,
flood, typhoon, exceptional weather conditions, peril,
war or warlike situations (e.g. riots and revolutions),
or any other cause beyond the control of the pary.
In no event shall either party be liable for damages,
whether direct, indirect, or consequential caused by
any such prevention or delay. The party so prevented
or delayed will notify the other of the occurrence
and expected duration of any delay as soon as reasonably
possible.
CR suggests a maximum of 5% in para. 26.7 and that
the following text be added: "Should such maximum be
reached, the parties shall in good faith negotiate
how to proceed with the project".
P̲a̲r̲a̲s̲.̲ ̲2̲8̲-̲2̲9̲
A period of 90 days after written notice of alleged
default should be allowed in order for the contractor
to remedy the default.
It is suggested that para. 28.2 and 29.2 be deleted.
P̲a̲r̲a̲ ̲3̲1̲
CR suggests that the last line be substituted with
the following: "shall be the sole property of the contractor.
HCAA is granted unlimited user rights."
P̲a̲r̲a̲.̲ ̲3̲2̲
CR would prefer a maximum of 7 years during which the
availability of spare parts is guaranteed. After the
elapse of 7 years an extension of the agreement on
availability of spare parts may be negotiated. Otherwise
HCAA will be offered spare parts batches to ensure

in the following for this laboratory equipment.
In figure 8.3-1 the equipment matrix for the maintenance
system (meek-up) and the maintenance equipment are
shown together. Budgettary unit prices and total prices
are included too.
