1. At the meeting which took place at CR A/S on 10th October
1983 the cooperation between the two companies were
discussed based upon the Automation System Communication
Center (ASCC) requested by The Italian Air Force.
The scope of the meeting was to establish
- Marketing strategy
- the contractual arrangement
- payment model
- division of responsibilities.
2. M̲a̲r̲k̲e̲t̲i̲n̲g̲
It was decided that Telettra will do the marketing
with appropriate support from CR A/S Systems Division
(CR A/S, SD).
On the ASCC program 20 companies have received the
preliminary RFP. Among those are:
ITALTEL
SELENIA
PHILIPS
MARCONI
ELETTRONICA
PAGE EUROPE
IBM
Telettra expected that PHILIPS and IBM would be the
biggest competitor. Also MARCONI could possibly be
competitor in addition to a possible consortia.
The Air Force contract Selection Criterias were described
by Telettra as being a technical and price evaluation
based upon a point score system.
It was decided that Telettra should attempt to compose
a paper indicating the most important functions to
be highlighted in the proposal prior to start of proposal
writing thereby attempt to take most advantage of the
evaluation criterias.
3. C̲o̲n̲t̲r̲a̲c̲t̲u̲a̲l̲ ̲I̲s̲s̲u̲e̲s̲
It was agreed by Telettra and CR A/S, SD that Telettra
should be the main contractor and CR A/S, SD should
be subcontractor to Telettra.
The contract period is estimated to be 5 years divided
into 3 phases where
- phase 1 include delivery of 3 msg. processors and
3 nodes
- phase 2 include delivery of 15 msg. processors
- phase 3 include delivery of 21 msg. processors.
With respect to proposal writing it was agreed that
both companies write proposals at their own risk and
expense.
With respect to exclusivity it was agreed that once
it was decided to bid on a program then exclusivity
should be mutual. Both companies agreed to postpone
decisions regarding long term exclusivity agreements.
4. P̲a̲y̲m̲e̲n̲t̲ ̲M̲o̲d̲e̲l̲
Telettra explained how the Italian Air Force normally
set up a payment plan:
20% at start of the program
40% when the H/W is installed
35% when the system is accepted
5% when warrenty is complete.
The contracts are normally Firm Fixed Price with some
form for escallation. The actual payment plan will
be known for the ASCC program when the final RFP is
issued by the Air Force.
CR informed Telettra that CR negotiate a balanced cash
flow payment plan in connection with turn key contracts.
5. D̲i̲v̲i̲s̲i̲o̲n̲ ̲o̲f̲ ̲R̲e̲s̲p̲o̲n̲s̲i̲b̲i̲l̲i̲t̲i̲e̲s̲
On the ASCC program the following tentative division
of responsibilities was decided:
5.1 H̲a̲r̲d̲w̲a̲r̲e̲
CR shall deliver all H/W except
- Pink Power (No Break) supplies
- Signal Cables
- Fiber Optic Cables
which Telettra will deliver and install. Ducting will
probably be delivered by the Air Force.
5.2 S̲o̲f̲t̲w̲a̲r̲e̲
CR will deliver the software. Telettra will participate
in the program to an extent which makes it possible
to maintain the software in Italy. Also Telettra will
translate the Man Machine Interfaces into Italian to
an extent necessary.
5.3 I̲n̲t̲e̲g̲r̲a̲t̲i̲o̲n̲
Provided a low competitive cost can be obtained the
final integration and test should take place in Italy
in order to give the Air Force easier access to a system
prior to installation.
More detailed analysis around this subject is needed
prior to decision.
5.4 I̲n̲s̲t̲a̲l̲l̲a̲t̲i̲o̲n̲
It was agreed that CR and Telettra will jointly install
the first 1-2 systems. Telettra will then gain the
experience necessary to install the remainder of the
systems. In all instances Telettra will install:
- Power Supplies
- Signal Cables
- Fiber Optic Cables.
5.5 T̲r̲a̲i̲n̲i̲n̲g̲
It was agreed that CR will train Telettra's people
using CR's training material written in English. Telettra
will then translate the training material into Italian
and train the Air Force.
5.6 D̲o̲c̲u̲m̲e̲n̲t̲a̲t̲i̲o̲n̲
It was agreed that CR will deliver the documentation
under CR's responsibility in English to Telettra. Telettra
will then translate the documentation into Italian.
5.7 W̲a̲r̲r̲a̲n̲t̲y̲
Warranty (normally 12 months) will be supplied by CR
to Telettra for the contractual items falling under
CR's responsibility. Both H/W and S/W shall be covered
by the warranty.
5.8 M̲a̲i̲n̲t̲e̲n̲a̲n̲c̲e̲
It was agreed that Telettra shall perform the on-site
maintenance. CR shall repair failed H/W modules in
their repair center in Copenhagen. S/W maintenance
shall to the extent possible be performed by Telettra.
6. F̲u̲t̲u̲r̲e̲ ̲P̲l̲a̲n̲s̲
The following dates can be used for planning purposes:
The RFP will be released in January 1984. The proposal
shall be completed in March/April 1984. Cr shall write
the proposal in English and Telettra translate into
Italian.
Contract selection is expected in September 1984.
