TEAMING
AGREEMENT
THIS AGREEMENT entered into this ̲ ̲ ̲ ̲ ̲ ̲ day of ̲ ̲ ̲ ̲ ̲ ̲ ̲ 1982 between Christian Rovsing A/S, hereinafter
called CR A/S and the 4C CORPORATION hereinafter called 4C and collectively referred to as the parties.
WITNESSETH CR A/S is preparing a proposal for the Coastal Radar Integration Segment (CRIS) hereinafter
called the Work and whereas 4C is to work with CR A/S in the preparation of the proposal in a specialized
sphere of endeavor, it is understood and agreed between the Parties as follows:
A̲r̲t̲i̲c̲l̲e̲ ̲1̲
The Parties shall cooperate in the preparation of the proposal under the direction of CR A/S. CR A/S
will afford 4C the opportunity to review the form and content of the proposal and will make reasonable
efforts to ensure that 4C's data is adequately portrayed. Any costs incurred by the Parties during
preparation of the proposal and/or contract negotiations shall be borne by each of the parties themselves.

If a contract is awarded to CR A/S as a result of this proposal, it is understood that CR A/S will,
to the extent permitted by the prime contract, award a contract to 4C for the hardware/software approximately
commensurate with the 4C proposal scope except as modified by customer during negotiations.…86…W

A̲r̲t̲i̲c̲l̲e̲ ̲3̲
4C agrees that it shall not, without CR A/S consent in writing, directly or indirectly, alone or together
with a third party, prepare or submit or take any part in the preparation or submission of a tender
or proposal for the Work during the term of this Agreement.
A̲r̲t̲i̲c̲l̲e̲ ̲4̲
It is understood and agreed between the Parties that this proposal and the Work will entail the preparation
and handling of confidential information. "Confidential Information" shall mean any pertinent information
disclosed to or obtained by 4C or CR A/S in connection with and during the term of this Agreement.
It shall also mean all items prepared for or submitted to CR A/S in connection with work performed
under this Agreement, including drafts and associated materials.
The term "Confidential Information" shall not mean any information which is previously known to 4C
or CR A/S without obligation of confidence or without breach of this Agreement.
For a period of two years from the date of termination of this Agreement, 4C and CR A/S agree to hold
all such Confidential Information in trust and confidence and not use such Confidential Information
other than for the benefit of both Parties. Except as may be authorized by CR A/S in writing, for
such period of time, 4C agrees not to disclose any such Confidential Information by publication or
otherwise, to any person other than those persons 4C deems to have a need to know such Confidential
Information for purposes of carrying out the terms of this Agreement, and who agree in writing to
be bound by, and comply with the provisions of this Section.
Confidential Information which is exchanged by the Parties may be used only by the receiving Party
in connection with the Work.
Upon termination or expiration of this Agreement, each Party will return to the other Party all written
or descriptive matter, including but not limited to drawings, blue-prints, descriptions, or other
papers, documents, tapes or any other media which contain any such Confidential Information. In the
event of a loss of any item containing such Confidential Information, each Party shall promptly notify
the other in writing.
A̲r̲t̲i̲c̲l̲e̲ ̲5̲
4C agrees to work with diligence in completing the proposal and to fully complete agreed upon proposal
tasks.
A̲r̲t̲i̲c̲l̲e̲ ̲6̲
No license or right is granted to the other Party either expressly or by implication, estoppel or
otherwise to publish, reproduce, prepare derivative works based upon, distribute copies of, publicly
display, or perform, any items or information which are proprietary to the disclosing partly, except
pre-existing materials of the Parties, either during or after the term of this Agreement.
A̲r̲t̲i̲c̲l̲e̲ ̲7̲
This Agreement shall terminate on ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲, or on the date a subcontract is awarded to 4C
by Christian Rovsing A/S pursuant to Article 2 of this Agreement, whichever comes first. This Agreement

A̲r̲t̲i̲c̲l̲e̲ ̲8̲
The construction, validity and performance of the present Agreement shall be governed by the law of
the Kingdom of Denmark.
IN WITNESS whereof the Parties thereto have caused this Agreement to be executed by their duly authorized
representatives the day and the year written first above.
