1. I̲N̲T̲R̲O̲D̲U̲C̲T̲I̲O̲N̲
This letter of intent specifies the terms and conditions
for the development of the Test Drive System which
shall be developed for the CAMPS program.
2. W̲O̲R̲K̲ ̲A̲U̲T̲H̲O̲R̲I̲S̲A̲T̲I̲O̲N̲
Christian Rovsing A/S hereby authorizes Christian Rovsing
Corporation to develop a product specification for
a Test Drive System (TDS) based upon the TDS Preliminary
Specification found in Appendix A of this letter.
The product specification shall additionally be expanded
to contain the following functions of the Log Editor:
a) A checksum compare of two test log files.
b) A logical compare of two test log files.
c) Print of the entire log file by name or similar.
d) Print part of a log file by name and line number
or time tag or similar.
e) Print as c) and/or d), but excluding part of the
messages.
The product specification shall also support the requirements
in the CAMPS System Requirements Specification CPS/210/SYS/0001
para 3.5.11.5.2
The TDS shall be able to support 80 lines which can
be connected to a mix of:
VDU's
Teleprinters'
SCARS (x25)
CCIS (x25)
NICS/TARE (x25)
It shall optionally be possible to generate messages
by means of a pseudo-random generator.
3. R̲E̲V̲I̲E̲W̲ ̲O̲F̲ ̲T̲H̲E̲ ̲P̲R̲O̲D̲U̲C̲T̲ ̲S̲P̲E̲C̲I̲F̲I̲C̲A̲T̲I̲O̲N̲
The product specification produced by CR CORP. shall
be reviewed and approved by CR A/S. When approved,
a contract which authorizes CR CORP. to implement and
test the TDS in accordance with the schedule in Appendix
B shall be written.
CR A/S, however, have the right to stop any further
work to be done by CR CORP.
4. C̲O̲N̲T̲E̲N̲T̲S̲ ̲O̲F̲ ̲T̲H̲E̲ ̲C̲O̲N̲T̲R̲A̲C̲T̲
The final contract shall as a minimum define the following:
- a statement of work
- acceptance criterias
- approval of the Users Manual
- a development plan
- acceptance test at final delivery and a demonstration
at delivery I. Both tests take place at CR
A/S in
Ballerup.
- Warranty and maintenance
- Schedule
- Delivery
- Financial terms
4.1 D̲e̲v̲e̲l̲o̲p̲m̲e̲n̲t̲ ̲P̲l̲a̲n̲
The development plan shall show as a minimum:
- a brief introduction
- a specification of line items
- milestones
- plan for acceptance test
- a schedule
- an organizational chart
- CR A/S dependancies
- deliverable per release
The plan shall be delivered to CR A/S 2 weeks after
contract signature.
4.2 D̲e̲l̲i̲v̲e̲r̲y̲
CR CORP. shall deliver and install the TDS (release
I and II) at CR A/S and perform an acceptance test
which is specified in a set of procedures which verify
the requirements and functions set forth in the product
specification. See para 2.
4.3 W̲a̲r̲r̲a̲n̲t̲y̲ ̲a̲n̲d̲ ̲M̲a̲i̲n̲t̲e̲n̲a̲n̲c̲e̲
The system, once delivered (both deliveries) shall
be supported by CR CORP. to the extent that one person
from CR A/S receives one week of training at CR A/S.
In addition, support shall be given by telex or phone
conversation in order to allow CR A/S to patch the
system and bring it into an operational state. In
case of recompilation, a new release of the module
or program shall be supplied by CR CORP. The maintenance
and warranty period is ended when CR A/S has passed
the functional test at SHAPE.
5. S̲C̲H̲E̲D̲U̲L̲E̲
It is agreed that the work shall be accomplished within
the time frame shown on the attached schedule (Appendix
B).
The following Milestones are at this time found major:
- Review and approval of Product Spec.
- Contract agreement.
- Review and Approval of the User Manual (2 deliveries)
- Release I of the TDS including full support
except for
the x25 protocol and x25 monitor.
- Release II of the TDS which includes full support.
6. F̲I̲N̲A̲N̲C̲I̲A̲L̲ ̲T̲E̲R̲M̲S̲
The TDS system shall be developed and delivered for:
d̲k̲r̲.̲ ̲1̲.̲0̲5̲0̲.̲0̲0̲0̲
as a firm fixed price.
The amount DKR. 118.000 will be paid by the signature
of this letter of intent. This amount shall cover
the effort to produce the product specification and
have it approved.
The remainder DKR. 932.000 will be paid in terms laid
down in the contract. The payment milestones shall
be tied to development milestones and shall not exceed
5 payments.
This letter of intent to proceed on the TDS system
is agreed to and accepted by both parties through the
signatures below:
