1 S̲C̲O̲P̲E̲ ̲O̲F̲ ̲C̲O̲N̲T̲R̲A̲C̲T̲
1.1 TRR shall deliver 200 identical Medium Speed Printers
Model 8000 as specified in Appendix B to this contract.
1.2 TRR shall deliver associated material and services
as specified in this contract.
1.3 On CR's request TRR shall deliver equipment, material
and services as specified in Appendix E to this contract.
2 A̲P̲P̲L̲I̲C̲A̲B̲L̲E̲ ̲D̲O̲C̲U̲M̲E̲N̲T̲S̲ ̲A̲N̲D̲ ̲O̲R̲D̲E̲R̲ ̲O̲F̲ ̲P̲R̲E̲C̲E̲D̲E̲N̲C̲E̲
2.1 Document MIL-I-45208A shall apply to this contract.
2.2 Manual "Model 8000 Telecommunication Terminal" 75 pages,
undated.
2.3 In the event of an inconsistency between the provisions
of this contract with integral appendices, the inconsistency
shall be resolved by giving precedence in the following
order:
a) The special Provisions, Section 1, Clause 1 through
16 of this contract
b) Appendix B, Technical Specifications and Requirements
c) Appendix C, Quality Requirements for Equipment
Purchased for the CAMPS Project. (CPS/AUX/009,
issue 2, dated 810226).
d) Appendix D, Test Procedures
e) Appendix E, Options
f) Appendix A, The SHAPE General Provisions, Clause
1 through 41.
3 P̲E̲R̲F̲O̲R̲M̲A̲N̲C̲E̲ ̲A̲N̲D̲ ̲D̲E̲L̲I̲V̲E̲R̲Y̲ ̲S̲C̲H̲E̲D̲U̲L̲E̲
3.1 TRR will apply for Export License and all other government
approvals necessary for TRR to fulfil its obligations
under this contract no later than two (2) weeks after
effective date of contract.
TRR will inform CR of the likely dates for obtaining
such approvals and of any possible delays as soon as
such possible delays have come to the knowledge of
TRR.
Failure by TRR to obtain such approvals within 90 days,
ARO shall give the parties hereto the right to cancel
this contract without further notice hereto of any
rights, duties or obligations. However, it is recognized
that TRR has no control over the U.S. Department of
State and its established processing periods, policies
and procedures for review and approval of export license
applications, so therefore the parties hereto may extend
the aforementioned 90 day period by mutual agreement.
3.2 National Certification that the standard version of
the model 8000 RO printer has been tested to meet the
requirements of NACSEM 5100 or its replacement will
be provided by TRR prior to March 31, 1982.
Failure by TRR to provide such certification prior
to May 31, 1982 shall give CR the right to cancel this
contract without further notice and free CR of any
liability.
3.3 TRR will perform supplemental testing of the Model
8000 R.O. printer to verify that the modifications
to said printer specified elsewhere herein, i.e. the
incorporation of an optical modem and a security keylock,
will not compromise the Tempest integrity of the printer.
Such supplemental tests will be performed within 30
days from completion of the basic tests, and the results
therefrom will be made available to SHAPE through the
cognizant U.S. Government agencies and via established
channels.
3.4 Design documentation demonstrating how TRR will implement
the security keylock and optical interface modifications
shall be submitted for CR approval prior to August
1, 1981. CR's approval or disapproval shall be submitted
no later than 15 days from CR's receipt of the design
documentation.
3.5 TRR shall apply no later than July 15, 1981 for temporary
export approval of one printer, which shall be furnished
to CR for use in system testing, etc., free of charge
to CR. TRR shall deliver the printer by August 15,
1981. CR shall return the printer to TRR within 30
days after receipt by CR of the first shipment of production
printers.
3.6 Preliminary documentation and a table of contents and
a synopsis of each section for the:
- Operators Manual
- Maintenance manual at subassembly level
- Maintenance Manual at component level
shall be delivered by TRR to CR on or before August
10, 1981 for CR's approval, according to clause 12
of the special provision of this contract.
3.7 The Operators Manual and the Maintenance Manual on
subassembly level shall be delivered by TRR to CR no
later than November 10, 1981, satisfying clause 12
of the special provisions of this contract.
3.8 TRR shall no later than October 1, 1982 deliver to
CR a Maintenance Manual on the component level according
to clause 12 of the special provisions of this contract.
3.9 TRR shall along with the first printer shipment deliver
a quantity of spares allowing repair at the subassembly
level during the warranty period. The remaining subassemblies
shall become part of the spares to be delivered according
to Appendix E of this contract.
3.10 Shipment of MSPs shall be made as follows:
October 1981: 32 units
January 1982: 50 units
April 1982: 50 units
July 1982: 68 units
3.11 Prior to July 1, 1982, TRR shall at no cost to CR incorporate
any change or modification required to make all units
- shipped or to be shipped - identical, except for
the keylock and the optical connection to the standard
version of the 8000 RO printer, for which Tempest certification
has been obtained. Alternatively TRR may chose to
replace some or all of the MSPs.
4 P̲R̲I̲C̲E̲S̲
4.1 All prices in this contract are firm fixed prices based
on delivery FOB, Austin Aiport, Texas, USA.

6 P̲E̲R̲F̲O̲R̲M̲A̲N̲C̲E̲ ̲B̲O̲N̲D̲
7 Q̲U̲A̲L̲I̲T̲Y̲ ̲A̲S̲S̲U̲R̲A̲N̲C̲E̲ ̲A̲N̲D̲ ̲A̲C̲C̲E̲P̲T̲A̲N̲C̲E̲
7.1 TRR will perform this contract in compliance with MIL-I-45208
A. Gonvernment inspection is required prior to shipment
from TRR. Upon signature of this contract TRR will
promptly notify the Government Representative who normally
services TRR so that appropriate planning for Government
Inspection can be accomplished.
7.2 Equipment, documentation, and services delivered under
this contract will be in compliance with Appendices
B, C, and D to this contract.
7.3 The following exceptions to Appendix C are agreed:

7.4 CRs acceptance of the deliveries will take place at
the expiration of the warranty period provided all
Tempest Certification and Test Requirements have been
met by then.
8 W̲A̲R̲R̲A̲N̲T̲Y̲ ̲A̲N̲D̲ ̲L̲A̲T̲E̲N̲T̲ ̲D̲E̲F̲E̲C̲T̲S̲
8.1 TRR warrants that all items delivered under this contract
shall be free from faults and deficiencies which are
due to defects in material, faulty workmanship or design
for a period of twenty (20) working days after arrival
at CR's facility, Ballerup, such period to exclude
national holidays in Denmark, and periods of CR's facility
closing for summer and christmas, New Year holidays.
8.2 The warranty period shall be suspended from the time
of failure until correction of the discrepancy. Further,
the warranty shall apply to items which failed during
the period of warranty and are reported no later than
two (2) working days therafter.
8.3 Items returned under this provision shall be shipped
at CR's expense to TRR using customs form 502. If TRR
agrees that the failure is due to a covered deficiency,
TRR will - as expeditiously as possible - repair and
return the item at its expense. If, however, the failure
is due to improper use or handling, TRR will provide
a quotation for repair of the unit.
8.4 With regard to latent defects TRR agrees to supply
at no cost to CR all parts, instructions, and documentation
needed to correct any design or material defect discovered
during a 3 year period from the date of last shipment.
For purposes of this sub-clause a design or material
defect shall be defined as a defect already existing
at the time of shipment and/or a defect which could
not be discovered by the time of shipment but at a
later point of time causes the failure rate of the
deliverables to be in excess of what could be reasonably
expected.
9 R̲I̲G̲H̲T̲S̲ ̲A̲N̲D̲ ̲I̲N̲D̲E̲M̲N̲I̲T̲I̲E̲S̲
9.1 TRR undertakes to provide CR and CR's customer with
full and unrestricted user rights for use in which
the deliverables were intended, valid for all deliverables
in all NATO countries.
9.2 TRR shall indemnify CR and CR's customer against all
actions, proceedings, costs, claims, damages, and expenses
which CR or CR's customer may suffer or incur arising
out of any claims by third parties that the deliverables
or the use therof constitues an infringement of any
letters patent, or registered design, provided that
TRR receives prompt written notice of such claim, suit,
or action and opportunity and authority to assume the
sole defense thereof including settlement and appeals,
and receives all information available to CR for such
claim.
Nothing in the foregoing shall be deemed to restrict
the right of TRR to modify the deliverables so that
the use thereof does not constitute any such infringement
as long as such modifications do not restrict the use
of deliverables by CR or CR's customer:
10 T̲R̲A̲I̲N̲I̲N̲G̲
10.1 TRR will submit for CR approval a self-study training
package at the B-5 level prior to
10.2 Two (2) reproducible copies of the approved training
package will be submitted to CR prior to
10.3 As an option CR may request a TRR-instructor to conduct
a maintenance course at CR's or at TRR's facility.
The cost of this will be charged to CR on a time and
material basis.
11 T̲E̲M̲P̲E̲S̲T̲ ̲R̲E̲Q̲U̲I̲R̲E̲M̲E̲N̲T̲S̲
11.1 TRR warrants that the equipment to be delivered under
this contract will meet the Tempest Requirements of
NACSEM 5100.
11.2 TRR warrants prior to March 31, 1982 to have obtained
certification by National Authorities that the 8000
standard version has been successfully tested to meet
the requirements of NACSEM 5100A.
11.3 TRR warrants prior to March 31, 1982 to have made available
verified test data documenting that the modifications
to the 8000 standard version implemented under this
contract have not compromised the Tempest integrity
of the MSP.
11.4 TRR will assume full and sole responsibility for Tempest
certification of the MSPs including the fiber optic
connection, provided that a design review prior to
the certification confirms that CR's consultant Atlantic
Research Corporation finds the design of the optical
board provided by CR non-restricting. TRR shall have
the right to be present at the design review.
11.5 From date of contract TRR will submit monthly progress
reports on the Tempest Testing Program for the MSP
allowing CR to monitor the actual progress and evaluate
the possibility of completion in accordance with schedule.
11.6 In the event of major changes in the tempest testing
program TRR will report these immediately, stating
their schedule impact.
12 D̲O̲C̲U̲M̲E̲N̲T̲A̲T̲I̲O̲N̲
12.1 TRR shall deliver all documentation applicable to the
equipment.
12.2 The documentation package must include:
a) Preliminary documentation:
- Documentation suitable and sufficient for CR
to perform incoming inspection and preventive
maintenance.
- Software interface specification at programmers
level.
b) Final documentation:
- Users manual
- Maintenance manual at the subassembly level
- Maintenance manual at the component level.
12.3 TRR shall deliver 25 copies of each document plus two
sets of masters for off-set reproduction of xerox copying.
12.4 TRR shall for each manual deliver a table of contents
and a synopsis for each section to CR for CRs approval.
12.5 The final manuals shall fulfill the following requirements:
o The manuals shall only contain information pertaining
to the specifics pointer delivered to CR.
o The printing shall be a good quality and made by
a typewriter.
o The masters shall be made on high quality bond.
o Each chapter/section/subsection shall be numbered.
Each chapter/section shall have an underlined
heading.
o All pictures shall be supplied on photographic
paper.
o The text of the document shall not contain any
references by page numbers but only by section
numbers.
o The manuals must contain the key-lock feature and
optical interface.
o Mechanical drawings shall be available to support
the parts lists, e.g. exploded views.
o A complete and applicable parts list including
TRRs parts numbers and NATO Stock Numbers shall
be included.
o Drawings and/or photos showing loaded PCBs with
test points for easy recognition during trouble
shooting shall be included.
o Block diagrams showing the function of each PCB
to support the circuit diagrams in the schematic
manual shall be included.
o Trouble shooting procedures shall be part of the
documentation at a level which makes it possible
for the CR customer to program his own computer
controlled trouble shooting procedures.
12.6 TRR hereby grants permission to CR to reproduce all
deliverable documentation for delivery to end users.
CR accepts that it may not use the documentation for
purpose of manufacturing or having manufactured like
terminals. CR agrees to protect the confidentiability
of TRR documentation in the same manner and with the
same diligence as their own documentation.
13. S̲P̲A̲R̲E̲ ̲P̲A̲R̲T̲S̲
TRR will submit to CR a recommended spare parts list.
TRR will provide MTBF figures or other justification
for the items in support of the list.
14. O̲P̲T̲I̲O̲N̲S̲ ̲A̲N̲D̲ ̲F̲I̲E̲L̲D̲ ̲C̲H̲A̲N̲G̲E̲ ̲N̲O̲T̲E̲S̲
14.1 Options for additional deliveries and services are
specified in Appendix E Options.
14.2 In addition to Appendix E, TRR warrants to offer a
no cost to CR all software modifications being made
available, for delivery to CR.
14.3 TRR warrants to submit to CR without delay all Field
Change Notes effecting the MSPs to be delivered to
CR. Form fit, and function shall be maintained and
the spare parts list shall remain unchanged in spite
of these change notices.
15. F̲O̲R̲C̲E̲ ̲M̲A̲J̲E̲U̲R̲E̲
15.1 Neither party shall be liable for failure to fulfill
or perform its obligations and duties under this contract
or in connection therewith, if the failure is caused
directly or indirectly by force majeure, act of God,
fire, flood, explosion, riot, strike, lock-out, or
other industrial dispute, civil commotion, war, unforseeable
delay in obtaining materials or by any other cause
beyond the parties' reasonable control, provided that
this clause shall have effect only if the party claiming
to have so suffered shall give to the other party written
notice thereof within 14 days of the occurrence of
any such event(s). If such event(s) continue(s) for
more than an additional 30 days from the end of the
said 14 days, then the other party may at its option,
which shall be exercised by written notice given by
that party to the other within the next following 30
days, treat its obligations and duties under this contract
as suspended until such event(s) have come to an end.
15.2 Inability to obtain import or export license shall
not be considered force majeure as described in the
preceding subclause TRR shall assume sole responsibility
for providing export license from the United States
Government, except in case the inability to obtain
the license is the consequence of a general embargo
introduced subsequent to the date of this contract
and pertaining to specific technology involved and/or
to specific end user countries, or solely due to disapproval
by the US government of CR as buyer of the deliverables.
16. S̲H̲A̲P̲E̲ ̲G̲E̲N̲E̲R̲A̲L̲ ̲P̲R̲O̲V̲I̲S̲I̲O̲N̲S̲
SHAPE General Provisions attached hereto as Appendix
A shall apply mutatis mutandis to this contract with
the amendments, deletions, and modifications listed
below. Such amendments, deletions, and modifications
shall be considered part of the Special Provisions.
C̲l̲a̲u̲s̲e̲ ̲1̲7̲,̲ ̲D̲i̲s̲p̲u̲t̲e̲s̲
Delete and replace by:
The parties agree that any dispute arising out of this
contract shall be settled through negotiations in good
faith. If such negotiations fail to lead to settlement,
the parties agree to submit the dispute to a board
of arbitrators for final decision. Each party shall,
within 30 days after the other party has requested
him to do so, appoint an arbitrator. The two arbitrators
shall appoint a third member of the board of arbitrators.
If either of the parties fail to appoint an arbitrator
within the time limit specified above, or if the two
arbitrators fail to appoint a third arbitrator, the
president of the Maritime and Commercial Court of Copenhagen
will undertake the appointment.
This contract and the arbitration shall be governed
by Danish Law and the arbitration shall take place
in Copenhagen, Denmark.

TRR wil reimburse CR any additional cost incurred
due to the delay and connected with CRs provision

days, CR may cancel the contract in its entirety
and seek coverage of damages according to the below.
b) Delay in obtaining National Authorities formal
certification that the model 8000 has been tested
and proved to meet NACSEM 5100A (March 31, 1982),
and/or delay in provision by TRR of test data verifying
that the modifications to the standard model 8000,
i.e. security key lock and optical interface, have
not compromised the tempest integrity:
Then, in addition to the cancellation provided
for in clause 3 of these Special Provisions, CR
will have to:
o perform covering purchase from another supplier
of Tempest printers and:
o shall therefore be entitled to seek coverage
by TRR of any difference between the price
stated herein and that applicable to the covering
purchase.
o dispose of 200 optical modems specially designed
for the 8000 printer and TRR therefore undertakes
to buy these from CR at cost price.
o seek coverage of any damages incurred by CR
as a result of the delay under para (c) below.
c) Notwithstanding Clause 17 of the SHAPE General
provisions as modified by Clause 16 hereof (Arbitration),
CR shall be entitled to bring its case before any
court of Denmark or of the United States having
jurisdiction in such case in order to seek coverage
of damages and/or additional cost incurred due
to the delay.

The equipment to be supplied under this contract shall
meet the specifications and requirements listed below.

The equipment shall satisfy the performance requirements

a tolerance of +10% to -15%.

o The equipment shall operate with V24 interface
and optical modems. Both interfaces shall be physically
available, but it shall not be possible to use
both interfaces at the same time. It shall be
possible to select either interface by means of
a simple change in the field.
o The following signals will be available on the
port connector and to the optical modems.

The printer shall operate as a DTE.
B2.2 O̲p̲t̲o̲ ̲B̲o̲a̲r̲d̲
o An optical interface shall be incorporated in the
terminal. The interface shall allow a board to
be placed in an available card slot in the existing
card case of the terminal.
o The actual size of the board is to be determined
by TRR along with VERSITRON Inc.
o The opto board shall be powered with 18VAC taken
into consideration that the net voltage of 220V/240V
varies +10%/-15%).
The actual power specifications shall be established
by TRR along with VERSITRON Inc. prior to the opto
board design review.
o The existing V24 filter interface mounted at the
V24 port shall stay as is. However, an opening
shall be made in the lid of the V24 port allowing
the opto fiber and connectors to enter the terminal.
o The opto cable shall enter the terminal at the
available V24 port. The existing V24 plate on
the outside of the port shall be substituted by
an outside wave guide.
The existing V24 plate shall be delivered along
with the terminal.
o The opto cable wave guide shall have an inside
diameter of at least 10 mm to allow free passage
of the opto connector.
B3 M̲E̲D̲I̲U̲M̲ ̲S̲P̲E̲E̲D̲ ̲P̲R̲I̲N̲T̲E̲R̲
The medium speed teleprinters for the CAMPS system
are receive only (RO) printers. They shall have the
following characteristics as a minimum.
B3.1 P̲r̲i̲n̲t̲i̲n̲g̲ ̲F̲o̲r̲m̲a̲t̲
80-132 char. per line, 6 lines per inch. Characters
formed by a 7 x 9 dot matrix.

240 ASCII char. per second, and a throughput of 120
full 80 char. lines per minute.
By the high printing speed combined with input characters
buffer, the printer shall be able to handle 20 lines
of 15 characters at 600 Bps without loss of characters.
B3.3 T̲r̲a̲n̲s̲m̲i̲s̲s̲i̲o̲n̲ ̲S̲p̲e̲e̲d̲
In asynchronous mode, the transmission speed shall
be selectable up to 2400 Bps.

US ASCII - 128 characters printed.
B3.5 K̲e̲y̲-̲l̲o̲c̲k̲
A key-lock shall be incorporated in the printer. All
locks shall be individual and the key removable.
When the terminal is locked no printing must take place.
A unique status signal shall be generated by the terminal
when the terminal is locked or unlocked.
The status signal must be provided as a data string
(2 bytes long).
The just defined status shall also be available upon
request from the host by means of a command.
Additionally, if the host attempts to print when the
terminal is locked an error code shall be sent to the
host.

- It shall be possible to down line load, at any
time, a vertical tabulation control format specifying:
o Physical length of form
o Home
o End of page
o Minimum 5 additional tabulators specifying
a line number
- If no control format is loaded the printing shall
be performed assuming no control.
- It shall be possible, whenever a control format
is loaded, to command the printer to skip to:
o Home
o End of page
o Any of the specified locations by name of tabulator
o Variable number of lines
- When a control format is loaded the printer shall
skip to "Home" when the "end of page" line has
been printed.
B4 All other specifications shall be in accordance with
the applicable manuals listed in Special Provisions
paragraph 2 to this contract.
