This contract provides for the purchase by SHAPE and
the supply by CR of equipment, related software and
documentation for 8 protocol converters to be installed
at 3 sites and associated services in accordance with
the terms and conditions, specifications, and time
shedules of this contract.
SPECIAL
C̲L̲A̲U̲S̲E̲ ̲ ̲2̲ O̲R̲D̲E̲R̲ ̲O̲F̲ ̲P̲R̲E̲C̲E̲D̲E̲N̲C̲E̲
In the event of an inconsistency between the provisions
of this contract, the inconsistency shall be resolved
by giving precedence in the following order:
a) The Special Provisions, Clause 1 thru 18, of this
contract,
b) Appendix A to this contract, SHAPE General Provisions
c) Appendix E, Deliverable Items
d) Appendix G, PC System Requirements Specification
e) Appendix B, Payment Schedule
f) Appendix C, Price Adjustment Formula

4.1 The System Requirements Specification in Appendix G
represents exhaustively the technical baseline for
the design implementation and handover of the Protocol
Converter.
4.2 The SRS, as stated in Appendix G, can only be amended,
changed or deviated from as a result of a formal equipment
change procedure (ECP) as used in the CAMPS contract
CE 80-9009.

C̲L̲A̲U̲S̲E̲ ̲ ̲5̲ P̲R̲I̲C̲E̲S̲ ̲A̲N̲D̲ ̲P̲R̲I̲C̲E̲ ̲A̲D̲J̲U̲S̲T̲M̲E̲N̲T̲S̲
5.1 The total price of Protocol Converter Program excluding
options is

5.2 All prices are firm fixed prices and will remain valid
until the completion of the contract.
5.3 Payment will be made in the amounts and the currencies
stipulated in Appendix B.
5.4 A contract price adjustment formula is agreed as set
forth in Appendix C-2 to this contract. This formula
shall apply only to contract schedule changes which
are caused by:
a) SHAPE request to extend or change the installation
schedule.
b) SHAPE stop work order.
c) SHAPE delay of work under this contract for any
cause other than CR delinquency or CR technical
difficulties under other SHAPE contract(s).
5.5 Price breakdown is given in Appendix B.
SPECIAL
C̲L̲A̲U̲S̲E̲ ̲ ̲6̲ B̲A̲N̲K̲ ̲G̲U̲A̲R̲A̲N̲T̲E̲E̲
6.1 CR shall furnish a bankguarantee for the 30% advance
payment for the hardware in the amount of 1,188,753
DKr.. The bankguarantee shall be reduced throughout
the project with the price of the hardware items when
said hardware items are physically present in the factory
and accepted by Christian Rovsing A/S QA and GQAR.

We, the undersigned, (Name and Address), having taken
note of an order dated ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ ̲ given to Christian
Rovsing A/S by SHAPE regarding Protocol Converters,
herewith bind ourselves as surety for Christian Rovsing
A/S for a maximum amount of:
D̲K̲r̲.̲ ̲1̲,̲1̲9̲8̲,̲6̲5̲2̲
as a guarantee for repayment by Christian Rovsing A/S,
of the advance payment of the said amount, made by
SHAPE.
As soon as the Bank is informed of essential non-fulfilment
of the contract, SHAPE is obliged to notify Christian
Rovsing thereof.
Payment of compensation will take place within 14 days
after indemnityamount has been finally fixed.
This guarantee is valid until December 31, 1982 and
in the event that no claim has been sent to us on,
or four weeks after that date, our liability hereunder
ceases to exist, and this guarantee must be returned
to us for cancellation.
SPECIAL
C̲L̲A̲U̲S̲E̲ ̲ ̲7̲ P̲R̲O̲G̲R̲A̲M̲ ̲S̲C̲H̲E̲D̲U̲L̲E̲
7.1 Deliverables and scheduled times of delivery are defined
in Appendix E: Deliverable Items and Schedule. A detailed
time schedule is provided in Appendix F: WBS and Project
Implementation Schedule. The scheduled date of Final
Acceptance of the last site is August 30, 1984.

C̲L̲A̲U̲S̲E̲ ̲ ̲8̲ I̲N̲S̲T̲A̲L̲L̲A̲T̲I̲O̲N̲ ̲S̲E̲Q̲U̲E̲N̲C̲E̲
8.1 Equipment to be installed at CAMPS Sites shall be installed
concurrently with the installation of the CAMPS Equipment.
8.2 The installation sequence is as follows:
(1) SHAPE, BE
(2) NORTHAG/2ATAF, NL
(3) AFCENT/AAFCE, GE
SPECIAL
C̲L̲A̲U̲S̲E̲ ̲ ̲9̲ R̲E̲P̲O̲R̲T̲I̲N̲G̲ ̲A̲N̲D̲ ̲R̲E̲V̲I̲E̲W̲S̲
9.1 CR shall submit to SHAPE periodic Progress reports
according to the Contract Data Requirement List (CDRL)
(Refer to Appendix D). Representatives of SHAPE shall
have the right to visit the CR plant(s) to ascertain
the progress relative to any of the contract items
and/or the contractual performance of services at any
time during working hours with advance notice to CR.
9.2 Progress meetings shall be held in conjunction with
the major milestone reviews. These are the Systems
Design review (Task item 4.2, the Acceptance Test Procedures
(Task item 2.5), the Site 1 Factory Acceptance Test
(Task item 5.4) see Appendix F.
The meetings shall take place in Ballerup.
Other progress meetings may take place in Ballerup
or SHAPE.
9.3 In the event that CR encounters difficulty in meeting
performance requirements, or when it anticipates difficulty
in complying with delivery times stated in this contract,
CR shall immediately notify SHAPE in writing, giving
pertinent details; provided however, that this data
shall be informational only in character and that this
provision shall not be construed as a waiver by SHAPE
of any delivery date or time, or of any rights or remedies
provided under this contract.
9.4 CR shall conduct a System Design Review in Ballerup
in order to review the HW specification (to be part
of the equipment handbook) and the Software System
Specification.
SPECIAL
C̲L̲A̲U̲S̲E̲ ̲1̲0̲ A̲P̲P̲R̲O̲V̲A̲L̲ ̲A̲N̲D̲ ̲S̲U̲B̲M̲I̲T̲T̲A̲L̲ ̲O̲F̲ ̲D̲O̲C̲U̲M̲E̲N̲T̲A̲T̲I̲O̲N̲
10.1 SHAPE and CR will agree on a list of critical documents
which must be commented by SHAPE within 15 calendar
days after receipt. All other documents have a review
cycle of 30 calendar days unless otherwise agreed.
The result of SHAPE's review will be categorized and
reported by one of the following statements:
1) "Document acceptable as submitted" (Category 1)
2) "Document conditionally acceptable subject to incorporation
of comments set forth in the attached 'Discrepancy
List'" (Category 2)
3) "Document not accepted for reasons set forth in
the attached 'Defects List'" (Category 3)
The 'Discrepancy List' is an exhaustive list identifying
areas which do not prevent the use of the document,
i.e. editorial errors, insignificant omissions, etc.
and other items which cannot be termed in conflict
with the contractual requirements.
The 'Defects List' is an exhaustive list identifying
non-compliance with the requirements of the contract.
CR will issue a 'Document Change Notice' to obtain
unconditional acceptance of a document in category
2 and 3 above.
If a milestone payment is associated with the document
in question, CR is entitled to invoice on the day of
receipt of SHAPE's notice of the acceptance result
with respect to categories 1 and 2 above.
A similar invoice relating to category 3 above may
be submitted by CR on the day SHAPE receives the Document
Change Notice correcting the defects noted by SHAPE.
If a critical document is not accepted (Category 3)
after the first 15 days review period CR and SHAPE
shall seek to resolve the defects within 15 days. All
other non-accepted documents of Category 3 shall be
resolved within 30 days.
10.2 When CR submits deliverable documentation to SHAPE,
the following procedure shall be used:
10.2.1 When CR has made a shipment (regular mail or air freight),
a telex will be transmitted to SHAPE informing of the
shipment.
10.2.2 When SHAPE receives the shipment, a message will be
sent to CR acknowledging the receipt. The time of receipt
identifies the start of the approval period.
10.2.3 On or before the last day of the acceptance period,
SHAPE will, by telex, inform CR of the result of the
review. Furthermore, the comments, if any, will be
listed. In case explicit disapproval by telex or letter
has not been received by CR by the expiry of the approval
period CR and SHAPE shall resolve the issue expeditiously.
SPECIAL
C̲L̲A̲U̲S̲E̲ ̲1̲1̲ C̲O̲N̲T̲A̲C̲T̲ ̲B̲E̲T̲W̲E̲E̲N̲ ̲C̲A̲M̲P̲S̲ ̲R̲S̲T̲ ̲A̲N̲D̲ ̲C̲R̲
11.1 As stipulated elsewhere in this contract the Protocol
Converter maintenance will be performed by SHAPE personnel
that has been trained thoroughly in the CAMPS system,
hereafter referred to as a CAMPS RST.
11.2 The CAMPS RST is authorized to perform only scheduled
preventive maintenance during the contractual warranty
period. In order to carry out any corrective maintenance,
repair or modifications, while the equipment is subject
to warranty, the RST shall seek prior authorization
from CR. The ultimate warranty responsibility for repair
and corrective maintenance remains with CR.
11.3 Technical cooperation between the CAMPS RST and CR
will normally be encouraged. However, CR will inform
the PC Project Manager of all contacts initiated by
RST's with CR which relate to repair and maintenance.
SPECIAL
C̲L̲A̲U̲S̲E̲ ̲1̲2̲ P̲R̲O̲P̲R̲I̲E̲T̲A̲R̲Y̲ ̲R̲I̲G̲H̲T̲S̲ ̲I̲N̲ ̲C̲O̲M̲P̲U̲T̲E̲R̲ ̲S̲O̲F̲T̲W̲A̲R̲E̲
12.1 This clause on proprietary rights to software intends
to safeguard SHAPE's interest in security aspects and
in re-use of software for other NATO projects, while
still maintaining CR's right to commercially exploit
its own products.
12.2 Definitions
For the purpose of interpreting this clause 12 the
following terms shall have the meanings listed below:
12.2.1 Computer Software - Computer programs, computer data
bases, and computer software documentation, which are
defined as:
a) Computer Program - A series of instructions or
statements in a form acceptable to a computer,
designed to cause the computer to execute an operation
or operations. Computer programs include operating
systems, assemblers, compilers, interpreters, data
management systems, utility programs, sort-merge
programs, and ADPR maintenance/diagnostic programs,
as well as applications programs. Computer programs
may be either machine-dependent or machine- independent,
and may be general-purpose in nature or designed
to satisfy the requirements of a particular user.
b) Computer Data Base - A collection of data in form
capable of being processed and operated on by a
computer.
c) Computer Software Documentation - Data, including
data base specifications, computer listings and
printouts in human-readable form which:
- documents the design or details of computer
software
- explains the capabilities of the software,
or
- provides operating instructions for using the
software to obtain desired results from a computer.
12.2.2 Unlimited Rights - These are full rights of ownership
which include, but are not limited to, the rights to
use, duplicate, maintain, disclose computer software
in whole or in part, in any manner and for any purpose
whatsoever, and to have or permit others to do so.
12.2.3 Restricted Rights - These are the rights to:
a) Use or have used computer software with any computer
for which or with which it was developed and/or
acquired, including use at any NATO installation
at which such computer may be located;
b) Use or have used computer software with any NATO
commonly funded project within the areas of communication
processing or command, control, and information
systems.
c) Copy computer programs for safekeeping (archiving)
or back-up purposes;
d) Modify or have modified computer software, or combine
it with other software, subject to the provision
that those portions of the derivative software
incorporating restricted rights software are subject
to the same restricted rights; and
e) Treat computer software bearing a copyright notice
as a published copyrighted work
12.2.4 Protocol Converter Application Software - Computer
software developed or produced during the life of this
contract specifically for the PC project, except such
software which is produced by CR for PC but not under
SHAPE funding.
12.2.5 System Software - The computer software listed in para
12.4.3 below and any software program produced by CR
but not produced for PC, or programs produced by CR
for PC but not under SHAPE funding.
12.3 S̲H̲A̲P̲E̲ ̲R̲i̲g̲h̲t̲s̲:̲
12.3.1 SHAPE shall have unlimited rights in all PC application
software, defined in 12.2.4 above.
12.3.2 SHAPE shall have restricted rights in system software,
defined in 12.2.5 above.
These restricted rights are royalty free, non-exclusive,
and irrevocable. To be applicable, any computer software
which is subject to restricted rights must be marked
in the header information of the source code and the
associated documentation with the following legend:
RESTRICTED RIGHTS
Use, duplication or disclosure is subject
to restrictions stated in SHAPE Contract
SHNMO-82-9205-INF with Christian Rovsing A/S.
The marking with this legend shall imply that the restrictions
apply to the same extent to program object code.
Failure of the Contractor to apply a restricted rights
legend to such computer software shall relieve SHAPE
of liability with respect to such unmarked software.
12.4 C̲o̲n̲t̲r̲a̲c̲t̲o̲r̲ ̲R̲i̲g̲h̲t̲s̲ ̲
12.4.1 CR shall be entitled, without approval by SHAPE, to
sell, use, or transfer copies of the software and/or
related documentation of the system software, being
that to which SHAPE has restricted rights pursuant
to para 12.3.2 above, except
- where in so doing it prejudices either Danish national
or NATO security, and
- with respect to the computer software mentioned
in subpara 12.4.4 below, which software shall be
subject to the approval procedure of the same subparagraph.
12.4.2 Consistent with security considerations, SHAPE will
give favourable consideration to applications by CR
to commercially exploit non-system software, being
that to which SHAPE has unlimited rights pursuant to
para 12.3.1 above, under security procedures to be
negotiated at the time. Such SHAPE approval shall
not be unreasonably withheld by SHAPE, and normally
shall be granted in case of deliveries to military
projects in NATO contributing countries.
12.4.3 The following is the list of system software items
mentioned in para 12.3.2 above and as identified by
the time of contract signature:

12.4.4 In the event that during the life of this contract
CR intends to include in the application software deliveries
independently developed and funded computer software
to which, according to the definitions of subparagraph
12.2.3 above, SHAPE will have restricted rights only,
CR shall notify the Contracting Officer of this intent.
Within 30 days of receipt of notification, the Contracting
Officer will e̲i̲t̲h̲e̲r̲ acknowledge that the software has
been registered by SHAPE as subject to restricted rights
and that its inclusion in the CR deliveries has been
approved o̲r̲ notify CR of SHAPE's disapproval of the
inclusion.
SPECIAL
C̲L̲A̲U̲S̲E̲ ̲1̲3̲ A̲C̲C̲E̲P̲T̲A̲N̲C̲E̲
13.1 P̲r̲o̲v̲i̲s̲i̲o̲n̲a̲l̲ ̲S̲i̲t̲e̲ ̲A̲c̲c̲e̲p̲t̲a̲n̲c̲e̲
a) Provisional Site Acceptance is the act whereby
SHAPE will acknowledge by protocol that Christian
Rovsing A/S has fully demonstrated that a site
is complete and ready for initial operation and
will take place when the following requirements
have been met:
1) Completion of the agreed Provisional Site Acceptance
Test.
2) Verification of the site inventory.
3) If applicable, availability of a mutually agreed
discrepancy list showing the agreed date for
clearance of each listed discrepancy.
b) SHAPE will either sign a Provisional Site Acceptance
Protocol or deliver to CR in writing a "Notice
of Defects" listing the defects which prevented
provisional acceptance of the site.
c) The date of signature of the Provisional Acceptance
Protocol marks the date of the Provisional Acceptance
of the Site.
d) If SHAPE delivers a "Notice of Defects" then the
date on which SHAPE signs a "Correction of Defects
Notice" shall be the date of the Provisional Site
Acceptance.
e) "Defects", as referred to above, means any non-compliance
with this contract by CR which prevents the normal
operation of the site. "Discrepancies" shall mean
a non-compliance which does not prevent completion
of the provisional site acceptance. However, any
discrepancies existing at the time of signing the
Provisional Site Acceptance Protocol will be listed
in the protocol and dates for correction of each
will also be included.
f) The date of the Provisional Site Acceptance marks
the time at which SHAPE takes over the responsibility
of a site and the operation of the site can commence.
Prior to Provisional Acceptance all operation
by SHAPE of the site shall be approved by CR.
13.2 F̲i̲n̲a̲l̲ ̲A̲c̲c̲e̲p̲t̲a̲n̲c̲e̲
Final Site Acceptance is the act whereby SHAPE will
acknowledge by protocol that Christian Rovsing A/S
has fully demonstrated for each Site, compliance with
the requirements of this contract and its warranty
obligations.
SPECIAL
C̲L̲A̲U̲S̲E̲ ̲1̲4 A̲C̲C̲E̲P̲T̲A̲N̲C̲E̲ ̲T̲E̲S̲T̲ ̲P̲L̲A̲N̲
14.1 Acceptance Testing of the protocol converter is performed
in three separate testphases:
- Factory acceptance test
- Preliminary site acceptance test
- Provisional site acceptance test
14.2 T̲e̲s̲t̲ ̲P̲l̲a̲n̲ ̲a̲n̲d̲ ̲P̲r̲o̲c̲e̲d̲u̲r̲e̲s̲
All acceptance test tasks will be specified in the
Testplan and Test Procedures.
Acceptance Test Procedures shall be based on the requirements
and the information specified in the SRS and referenced
documents. It is the responsibility of SHAPE that the
SHAPE supplied documents are complete and correct.
14.3 F̲a̲c̲t̲o̲r̲y̲ ̲A̲c̲c̲e̲p̲t̲a̲n̲c̲e̲
Each protocol converter will pass through a formal
Factory Acceptance Test prior to shipment. The Factory
Acceptance Test will be documented in the Test Plan
and the Test Procedures. The Factory Acceptance Test
comprises the following separate tests:
1. COMSEC verification at the factory. The COMSEC
verification will be performed by purchaser in
accordance with the description given in the SRS
section 7.1
2. Functional test of hardware and software. The functional
test will be performed with the PC connected to
CAMPS system on one side and to a modified converter
at the other side. The modified converter will
simulate WWMCCS features required for the test.
If the CAMPS system is not fully proven at the
time scheduled for Factory Acceptance Test, then
the test will be performed with a simulation of
the CAMPS interface using parts of the CAMPS software
augmented with special test software.
14.4 P̲r̲e̲l̲i̲m̲i̲n̲a̲r̲y̲ ̲o̲n̲-̲s̲i̲t̲e̲ ̲T̲e̲s̲t̲i̲n̲g̲ ̲a̲t̲ ̲S̲H̲A̲P̲E̲
After installation and checkout of the first converter
at SHAPE, the converter will be connected to the collocated
WWMCCS system for verification of the PC-WWMCCS interface
and the function of the converter.
During this period SHAPE will Conduct Security Certification
Testing. This test shall not delay the CR acceptance
tasks.
The tests will use the built-in test messages present
in the protocol converter and SHAPE supplied test messages
from the WWMCCS system. The preliminary site acceptance
test will be specified in the Test Procedures.
In case that the WWMCCS system is not fully available
for test the Preliminary site acceptance shall be made
on the existing RC and DINDAC protocols only.
14.5 P̲r̲o̲v̲i̲s̲i̲o̲n̲a̲l̲ ̲S̲i̲t̲e̲ ̲A̲c̲c̲e̲p̲t̲a̲n̲c̲e̲ ̲T̲e̲s̲t̲
Immediately following the preliminary site acceptance
test the converter shall pass through a provisional
acceptance test. The converter shall be hooked-up to
both the WWMCCS system and the CAMPS system and a functional
test of the system will be performed in accordance
with the Test Procedure. After the functional test
the converter will also be subject to a COMSEC on-site
verification.
Testing of the SCARS II interface shall commence at
SHAPE on or prior to 15 August, 1983. (Refer to Appendix
B Paragraph 1.2.4 page 53). PSA shall be given when
all tests, including security accreditation have been
succesfully completed.
SPECIAL
C̲L̲A̲U̲S̲E̲ ̲1̲5̲ P̲C̲ ̲S̲O̲F̲T̲W̲A̲R̲E̲ ̲D̲E̲V̲E̲L̲O̲P̲M̲E̲N̲T̲ ̲F̲A̲C̲I̲L̲I̲T̲I̲E̲S̲
15.1 The application software will be written in swell code.
15.2 The swell statements shall be able to compile on the
CAMPS software development system and produce object
code that together with the AMOS operating system can
be executed in the protocol converter.
SPECIAL
C̲L̲A̲U̲S̲E̲ ̲1̲6̲ M̲A̲I̲N̲T̲E̲N̲A̲N̲C̲E̲ ̲A̲N̲D̲ ̲S̲U̲P̲P̲O̲R̲T̲
16.1 The Recommended Spare Parts Lists for sites and one
depot (RSPLs) will be submitted to SHAPE by CR no later
than 120 calendar days after contract signature.
16.2 The Approved Spare Parts List (ASPL) will be incorporated
by means of an amendment to this contract no later
than 60 days after the submittal of the RSPL.
16.3 As part of the maintenance plan and the RSPL CR shall
shall make recommendations for Depot level spares,
repair facilities, and training requirements.
16.4 The agreed depot level training effort and the agreed
applicable depot repair facilities shall take into
consideration the existing main CAMPS repair facilities.
It will be incorporated by means of an amendment to
this contract no later than 60 days after the submittal
of the recommendation.
SPECIAL
C̲L̲A̲U̲S̲E̲ ̲1̲7̲ C̲O̲D̲I̲F̲I̲C̲A̲T̲I̲O̲N̲
CR agrees to assist in the codification tasks to be
performed for the Protocol Converter hardware.
When the amount of assemblies and components to be
codified is defined, the codification task will be
quoted by CR and amended to this contract based upon
the following rates:

2650 DKr. per assembly/complex device.

18.1 CR shall set up a QA programme for the protocol converter
project.
18.2 The Quality Assurance Requirements applicable to CR's
hardware production are defined in AQAP 1 (Edition
2) as further specified in the approved System Requirements
Specification.
18.3 The Quality Assurance Requirements applicable to deliverable
software are defined in AQAP 13 as further refined
below:

CM at the same time as the related software

documented to a given internal standard.
207 The designer of the particular software component(s)
shall be present at the review.

208 The Configuration Management Procedures should
be explained in terms of levels of CM. Only

of the system and support software shall be in accordance
with the System Requirements Specifications.

SHAPE GENERAL PROVISIONS

being part of the Appendix A to this contract, shall
be applicable to this contract with the amendments,
additions, and deletions listed below.
1. C̲l̲a̲u̲s̲e̲ ̲1̲ ̲-̲ ̲D̲e̲f̲i̲n̲i̲t̲i̲o̲n̲s̲
Add the following:
d. The term "CAMPS" means the "Computer Aided Message
Processing System" as described in IFB Section
III.
e. The term "Contract" means the terms and conditions,
the Appendixes, and other documents which are made
part of the contract by reference.
f. The initial "CO" mean Contracting Officer.
g. The terms "Purchaser" and "Customer" means SHAPE.

to or for CR or another of CR's sub-contractors.
l. The term "Territorial Host Nation" means a sovereign
nation member of the NATO Alliance within whose
territorial borders work on sites will be performed
under this contract.
m. The term "foreign currency expense" means expenses
invoiced to CR by its sub-contractor(s), vendor(s),
or supplier(s) in any other currency than Dkr.
The currencies involved are the respective national
currency of the contributing NATO country in which
the sub-contractor, vendor and/or manufacturer
is located.
n. The term "Main CAMPS Contract" means Contract No.
CE 80-9009-INF and all present and future agreed
modifications.
o. The Term "PC" means the "Protocol Converter" as
described in this contract.
p. The term "WWMCCS" means World Wide Military Command
and Control System.
q. The term "SCARSII" means Status Control Alerting
and Reporting System.
r. The terms "ACCIS" and "CCI"S are both used to
mean the ACE Automated Command and Control System.
2. C̲l̲a̲u̲s̲e̲ ̲2̲ ̲-̲ ̲A̲u̲t̲h̲o̲r̲i̲t̲y̲
Delete and replace by the following:
During the life of this contract. SHAPE will, in its
relationship with CR, be represented by its designated
Contracting Officer. CR shall accept no directions,
changes or modifications impacting the work under the
PC contract from any national authority of the territorial
host nations or from any authority other than the SHAPE
Contracting Officer. The involvement of territorial
host nations shall in no way alter the fact that this
contract is concluded between SHAPE and CR (i.e. contractual
rights and obligations exist between the two parties
only).
3. C̲l̲a̲u̲s̲e̲ ̲6̲ ̲-̲ ̲S̲u̲b̲c̲o̲n̲t̲r̲a̲c̲t̲s̲
a. Subcontractors shall be limited to citizens or
legal entities of contributing member nations of
NATO (France not contributing) unless specifically
authorized by the Contracting Officer. No subcontract
under this prime contract shall be placed by CR
which contemplates carrying out classified work
in other than a NATO Country.
b. Within fifteen (15) calendar days after signature
of subcontracts which have a value of more than
1,250,000 Belgian Francs. CR shall furnish copies
of such subcontracts to the Contracting Officer
for review. Subcontracts are submitted to SHAPE
for information, and the commercial terms of such
contracts are not necessarily included in the submitted
material.
c. CR shall determine that any subcontractor proposed
by him for the furnishing of supplies or services
which will involve access to classified information
in CR's custody has been granted an appropriate
facility security clearance by the subcontractor's
national authorities, which is still in effect,
prior to being given access to such classified
information.
4. C̲l̲a̲u̲s̲e̲ ̲8̲ ̲-̲ ̲T̲i̲t̲l̲e̲ ̲a̲n̲d̲ ̲R̲i̲s̲k̲ ̲o̲f̲ ̲L̲o̲s̲s̲
a. Title to any separately identified deliverable
shall pass to SHAPE upon the first SHAPE approval
or acceptance of such deliverable to which a payment
is connected.
b. (1). The risk of loss or damage to all supplies
covered by this contract shall remain with the
Contractor until the commencement of the warranty
period for the items in question.
(2). Notwithstanding b.(1) above, risk of loss
of or damage to supplies which so fail to conform
to the contract as to give a right of rejection
shall remain with the Contractor until cure or
acceptance, at which time b.(1) above shall apply.
c. Notwithstanding b. above, the Contractor shall
not be liable for loss of or damage to supplies
caused by the negligence of officers, agents or
employees of SHAPE acting within the scope of their
employment.
5. C̲l̲a̲u̲s̲e̲ ̲1̲2̲ ̲-̲ ̲S̲H̲A̲P̲E̲ ̲F̲u̲r̲n̲i̲s̲h̲e̲d̲ ̲P̲r̲o̲p̲e̲r̲t̲y̲
Change heading of the clause to "SHAPE Furnished Property
and Support".
Add the following:
f. To the extent feasible, SHAPE will assist the Contractor's
personnel in obtaining emergency medical treatment
and services at SHAPE and other NATO or national
facilities at locations where PC equipment is to
be installed. Such medical treatment will be against
reimbursement.
g. Additional SHAPE furnished property and support
is listed in Appendix D to this contract.
6. C̲l̲a̲u̲s̲e̲ ̲1̲5̲ ̲-̲ ̲D̲e̲f̲a̲u̲l̲t̲
Delete (c.) and replace by the following:
c. Except with respect to defaults of sub-contractors,
the Contractor shall not be liable for any excess
costs if the failure to perform the contract arises
out of causes beyond the control and without the
fault or negligence of the Contractor. Such causes
may include, but are not restricted to, acts of
God, or of the public enemy, acts of SHAPE in either
its sovereign or contractual capacity, fires, floods,
epidemics, quarantaine restrictions, strikes, lock-out,
freight embargoes, energy shortages, and unusually
severe weather, but in every case the failure to
perform must be beyond the control and without
the fault or negligence of the Contractor. If the
failure to perform is caused by the default of
a sub-contractor, and if such default arises out
of causes beyond the control of both the Contractor
and sub-contractor, without the fault or negligence
of either of them, the Contractor shall not be
liable for any excess costs for failure to perform
unless the supplies or services to be furnished
by the sub-contractor were obtainable from other
sources in sufficient time to permit the Contractor
to meet the required delivery schedule.
7. C̲l̲a̲u̲s̲e̲ ̲1̲8̲ ̲-̲ ̲P̲r̲e̲f̲e̲r̲r̲e̲d̲ ̲C̲u̲s̲t̲o̲m̲e̲r̲
Delete and replace by the following:
a. CR warrants that the prices set forth in this contract
and appendices thereto are as favourable as those
extended to any government, agency, company, organization
or individual purchasing or handling like quantities
and types of equipment and/or parts covered by
this contract and under similar terms and conditions.
b. In the event that, prior to complete delivery under
this contract, CR offers any such items in substantially
similar quantities and conditions to any customer
at prices lower than those set forth herein, CR
shall notify SHAPE and the prices of such items
shall be correspondingly reduced by a supplement
to this contract.
c. "Prices", as used in this clause, means "base price"
prior to applying any bonuses, export tax reduction,
turnover tax exemptions, and other reductions based
on national policies.
8. C̲l̲a̲u̲s̲e̲ ̲2̲3̲ ̲-̲ ̲I̲n̲v̲o̲i̲c̲e̲s̲
Delete and replace by the following:
a. Invoices shall be prepared and submitted in at
least quintuplicate unless otherwise specified
and shall contain:
- contract number
- item number
- description of supplies/services, and
- the bank account to which the payment shall
be made.
The invoices shall be accompanied by:
- a bank guarantee, if appropriate, and as approved
by SHAPE
- delivery documents certificates and/or
- other documents required for the authorization
of payment as specified in the Payment Schedule
- exclusive of the taxes, duties, and other charges
referred to in Clause 21, Taxes and Customs
Charges. If CR is required to pay any of these
directly then they will be identified and invoiced
separately. (Excluded are service taxes).
b. All invoices shall be addressed to the Contracting
Officer, SHAPE Host Nation Management Office (SHNMO)
Contracts Branch, SHAPE, B-7010 Belgium. Each of
the invoices should contain the following certificate:
"I certify that the above invoice is true and correct
and payment therefore has not been received".
The certificate must then be followed by a signature
of a duly authorized company official of CR.
9. C̲l̲a̲u̲s̲e̲ ̲3̲0̲ ̲-̲ ̲S̲u̲p̲p̲l̲y̲ ̲W̲a̲r̲r̲a̲n̲t̲y̲
a. CR warrants that all supplies and services furnished
under this contract will be free from defects in
material or workmanship and will conform to the
specifications and all other requirements of this
contract.
b. CR shall, after written notice by SHAPE, replace
or correct without delay any of the defective/non-conforming
supplies, which are determined in any of the goods
and services supplied by CR under the provisions
listed below:
(1) All hardware items except those that are SHAPE
furnished, are warranted until one year after Provisional
Site Acceptance in accordance with the Master Program
Schedule or any extension thereof except for:
- contractor-purchased items having a useful
life of less than one year as customarily certified
by the manufacturer, in which cases the warranty
shall be limited accordingly
- consumable items such as bulbs, fuses, air-filters,
etc. which items are excluded from the warranty.
(2) Software warranty (12 months) will extend unconditionally
until 365 days have elapsed from the day of successful
Provisional Site Acceptance Testing of SCARSII
at the SHAPE site or from August 30, 1983 which
ever comes first. Warranty will exclude normal
wear and tear, misuse and improper maintenance
by SHAPE.
c. SHAPE shall give CR written notice of any defects/non-conformity
within thirty (30) days after its discovery in
accordance with the procedure to be agreed between
SHAPE and CR. The warranty period shall be deemed
to have been …86…1 …02… …02… …02… …02…
completed if notification of a defect, which is alleged
to have occurred within the warranty period, is not
received by CR within thirty (30) days after the date
on which the warranty would normally have expired.
In the event of CR's failure to fulfil its obligations
to repair or replace the defective or non-conforming
hardware items after due notice and within sixty
(60) days (or longer at SHAPE's discretion if deemed
necessary) of receipt of SHAPE's notice, SHAPE
shall have the right at its discretion:
1) to remedy, or have remedied, the defective
performance, in both cases for CR's account;
or
2) to terminate that portion of the contract relating
to the defective work.
d. When return, correction or replacement is required,
the Contracting Officer shall return the supplies
and transportation charges and responsibility for
such supplies while in transit shall be borne by
CR. However, CR's liability for such transportation
charges shall not exceed an amount equal to the
cost of transportation by the usual commercial
method of shipment between the designated destination
point under this contract and CR's plant, and return.
e. If CR does not agree as to its responsibility to
correct or replace the supplies delivered, it shall
nevertheless proceed in accordance with the written
request issued by the Contracting Officer to correct
or replace the defective or non-conforming supplies.
In the event it is later determined that such supplies
were not defective or non-conforming within the
provisions of this clause, the contract price will
be equitable adjusted. Failure to agree to such
an equitably adjustment of price shall be a dispute
concerning a question of fact within the meaning
of the clause of this contract entitled "Disputes".
f. Any hardware supplies or parts thereof corrected
or furnished in replacement pursuant to this clause
shall also be subject to all the provisions of
this clause to the same extent as hardware supplies
initially delivered.
g. Failure to agree upon any determination to be made
under this clause shall be a dispute concerning
a question of fact within the meaning of the "Disputes"
clause of this contract.
h. The word "supplies" as used herein includes related
services.
i. The rights and remedies of SHAPE provided in this
clause are in addition to and do not limit any
rights afforded to SHAPE by any other clause of
the contract.
j. 1) During the warranty period, CR shall accomplish
all software repair/correction as follows:
a) Modification to correct all failures;
b) Modification to correct the baselined Functional
Description; and
c) Modifications due to CR-initiated hardware
changes or software enhancement.
Just prior to the experation of the warranty period,
CR will deliver a final patch free system plus
the associated correspondingly updated documentation.
All software changes made during the warranty period
shall be made to the same software engineering
practices as were used during the software production.
Each repair/correction shall be subjected to configuration
management control by both SHAPE and CR.
k. During CR's software warranty period under this
contract the given time to repair/correct software
defects/non-corformities will be mutually agreed
upon considering the circumstances of each defect.
For software warranty defects/non-conformities
that may occur prior to the time at which a central
agency, appointed by SHAPE (such as the NATO Programming
Centre - NCP), takes control of the software baseline
under the program, CR shall accomplish repair/correction
in the software Master Programs still in CR's control
and also incorporate the said repair/correction
to be incorporated into the software of the sites
previously accepted. After the SHAPE agency takes
over the PC baseline, update of software of the
sites accepted that are still within CR's warranty
period shall be accomplished by that agency with
CR providing the repair/correction. Should this
right be excercised, all other contractual conditions,
including the remaining warranty, will remain in
force.
l. This warranty is only valid for such defects/non-conformities
in software and/or hardware which can be reproduced
in the presence of CR's representatives. If the
defect/non-conformity cannot be so reproduces or
if for other reasons CR's review of a warranty
claim indicates the claim to be non-valid and it
is confirmed that the software or hardware was
in conformance with the contract requirements,
SHAPE shall reimburse CR for all costs associated
with the alleged claim.
m. CR's warranty obligations under this contract shall
become void in case repair of any kind of the supplied
software and hardware is performed by persons not
authorized by CR.
n. CR is responsible for the repair/correction of
defects in hardware during the defined warranty
period and may repair/correct the hardware either
at the place of installation or at CR's plant.
If a defect discovered in hardware still under
warranty also affects hardware in sites provisionally
accepted, which are no longer covered by hardware
warranty, CR shall provide information to SHAPE
describing the methods by which such hardware may
be repaired or corrected. The repair or correction
of hardware which is no longer in warranty is the
responsibility of SHAPE.
o. Spare parts and the packaging, marking and preservation
thereof will be under 12 months hardware warranty
from:
1) with respect to spares delivered to a site,
the date of Provisional Site Acceptance
2) with respect to spares delivered to a depot,
the date of delivery to the depot.
10. C̲l̲a̲u̲s̲e̲ ̲3̲1̲ ̲-̲ ̲O̲r̲d̲e̲r̲ ̲o̲f̲ ̲P̲r̲e̲c̲e̲d̲e̲n̲c̲e̲
Delete in its entirety, refer to SPECIAL CLAUSE 2 of
the Special Provisions.
11. C̲l̲a̲u̲s̲e̲ ̲3̲2̲ ̲-̲ ̲I̲n̲d̲e̲m̲n̲i̲f̲i̲c̲a̲t̲i̲o̲n̲ ̲o̲f̲ ̲S̲H̲A̲P̲E̲
Delete and replace by the following:
a. CR shall indemnify SHAPE against all losses and
claims for injuries or damages to any person or
any property which may arise out of CR's activities
under this contract that are due to the negligence
of CR personnel, including the use or possession
of SHAPE furnished property. In the event of any
claim, CR shall be given written notice and shall
have the right to defend such claim at its own
cost and expense.
b. CR personnel shall use reasonable care to avoid
damaging buildings and equipment on any work site.
If such personnel damages any such buildings or
equipment, CR shall correct or repair the damage
or make replacement, as directed by SHAPE and at
no expense to SHAPE. If CR fails or refuses to
make such repair or replacement, CR shall be liable
for the cost thereof, which may be deducted from
the contract price.
c. With respect to CR's obligation cited in paragraph
a above, CR will obtain insurance against risk
of injury to SHAPE personnel and loss of or damage
to SHAPE furnished property.
12. C̲l̲a̲u̲s̲e̲ ̲3̲8̲ ̲-̲ ̲L̲i̲q̲u̲i̲d̲a̲t̲e̲d̲ ̲D̲a̲m̲a̲g̲e̲s̲
Delete and replace by the following:

a) If CR fails to obtain Final Acceptance within the

Therefore, in lieu of actual damages, CR shall
pay to SHAPE as fixed, agreed and liquidated damages
for each calendar day of delay, 0.1% of the contractual
value of the delayed site(s), calculated for each
site as 1/3 (one third) of the overall price quoted
in clause 5.1 less taxes, to a maximum of 5% of
this contract value of the site, i.e. for the purpose
of this clause SHAPE will consider a completed,
operationally accepted and installed PC site as
exempted from liquidated damages. Alternatively,
SHAPE may terminate this contract in whole or in
part as provided in article 15 of the SHAPE General
Provisions.
b) CR shall not be charged with liquidated damages
when the delay arises out of causes beyond control
or without the fault or negligence of CR, and in
such event, subject to the disputes clause, the
Contracting Officer shall ascertain the facts and
the extent of the delay and shall extend the time
for performance of the contract when in his judgement
the findings of fact justify an extension.

SHAPE FURNISHED PROPERTY AND SUPPORT

D.1 On Site testing.
D.1.1 SHAPE will provide all relevant equipment and
personnel to operate such equipment in due
time to enable CR to perform the Acceptance
Tests as scheduled.
1. Provision of a CAMPS, SCARS II and WMMCSS at
the dates scheduled for test.
2. Provision of adequate test time in CAMPS, SCARS
II and WMMCCS will be provided, preferably
during prime working hours.
3. Provision of the signal cables from CAMPS,
SCARS II and WMMCCS to the converter.
4. Provision of test network and personnel as
specified in the test plan and the test procedures.
It is assumed that contractor personnel will
operate the converter during acceptance test,
whereas customer personnel will operate interconnected
systems and SHAPE supplied test equipment.

D.2.1 S̲i̲t̲e̲ ̲F̲a̲c̲i̲l̲i̲t̲i̲e̲s̲
From the start of site installation and continuing
through the site acceptance tests SHAPE shall
provide the contractor, at no charge, with
the following facilities at the sites:
- Office space for 4 people
- Telephone and telex availability on a use
reimbursement basis
- Office furniture including desks, chairs,
file cabinets (classified and non-classified)
etc. for 4 people
- Storage space for tools and test equipment
(locked room or cabinets)
- Access to existing workshop(s)
The space and the type of facilities available
shall be determined at the time of site survey.
D.2.2 T̲r̲a̲n̲s̲p̲o̲r̲t̲ ̲a̲n̲d̲ ̲I̲n̲s̲t̲a̲l̲l̲a̲t̲i̲o̲n̲
SHAPE shall provide necessary manpower, if
available, to assist in off-loading and moving
equipment to rooms allocated for the PC. Loading/off-loading
devices available on site shall be provided
after reasonable notice.
Further, SHAPE shall provide temporary storage
facilities, environmentally controlled within
the limits of the CR proposal for storage of
equipment, for the PC equipment from the time
of site delivery to the start of installation.
D.2.3 O̲v̲e̲r̲a̲l̲l̲ ̲R̲e̲s̲p̲o̲n̲s̲i̲b̲i̲l̲i̲t̲y̲
SHAPE shall remain responsible for security
measures and fire protection at the sites.

site preparation until site has been verified
and accepted as ready for installation
by CR.
c) If CR is prevented from commencing or performing
installation work according to schedule
due to the sites being unfinished or if,
having arrived at the site, the contractor's
staff and/or supplies are denied access
to the site, a claim will be submitted
by contractor. This claim may be resolved
under Clause 37 of SHAPE's General Provisions
"SHAPE Delay of Work".
d) Customer shall notify contractor of a site's
readiness at the same time as the relevant
CAMPS Site unless this will delay the installation
of this CAMPS Site. Once SHAPE certifies
that a site is ready for installation,
the contractor will be required to verify
that the site is acceptable.
Contractor may schedule the site verification
at his convenience.
e) Customer will perform the following civil works
according to contractor's specifications:
1. Perform all light and mainpower installations
to feed and maintain the proposed equipment
(power cabling, circuit breakers, fuses,
light armatures, distribution to outlets,
and outlets).
2. Provide and install raised floors if required
and all cable ducts including ducts under
raised floors if applicable to run the
cables.
3. Supply and run all signal cables including
fiber optic cables.
4. Perform all installation required to maintain
the environmental conditions (temperatur,
humidity) specified. Customer will install
ventilation ducts, if required, according
to Civil Works Drawings.
5. Perform all other installations not directly
related to the PC equipment, if any (alarms,
voice activated, intercom. o.e.).
